Overview
A technology company specializing in SaaS solutions for advanced manufacturing sectors is seeking a Legal Counsel to serve as the primary in-house legal resource for its U.S. operations. The organization supports clients in industries such as defense, aerospace, energy, and space exploration, providing software that powers complex engineering projects.
Responsibilities
Commercial & Contracts
- Draft, review, and negotiate Terms of Use, Order Forms, Data Processing Agreements (DPAs), and NDAs with enterprise clients across defense, space, energy, and aviation sectors.
- Advise on contract provisions related to data sovereignty, security certifications, indemnification, and liability.
- Support enterprise sales with legal review of RFPs and large-client negotiations.
- Manage vendor and partner agreements, ensuring regulatory flow-down compliance.
Regulatory & Compliance
- Provide legal guidance to compliance and security teams on regulatory obligations.
- Advise on legal aspects of customer onboarding, platform access controls, and contractual representations.
- Review compliance policies and customer-facing representations for legal sufficiency.
- Manage outside counsel on specialized regulatory questions and formal filings.
Data Privacy & Cybersecurity
- Support the data privacy compliance program, focusing on U.S. requirements such as CCPA/CPRA and coordination on cross-border data transfers.
- Draft and maintain standard Data Processing Agreement templates for enterprise customers.
- Advise on data residency and sovereignty requirements.
Corporate & Employment
- Support corporate governance activities.
- Advise on U.S. employment law matters across multiple states, including remote workforce considerations.
- Coordinate with legal leadership on cross-border legal matters.
Requirements
Required
- Active membership in the California State Bar preferred; candidates admitted in other U.S. states will be considered for remote arrangements.
- Minimum 5 years of experience in corporate/commercial law, either from law firm experience with in-house transition or direct in-house roles.
- Working knowledge of SaaS Terms of Use and enterprise software licensing.
- Familiarity with data privacy laws such as CCPA/CPRA and/or GDPR.
- Proven ability to work independently and build legal infrastructure in a fast-paced technology environment.
Preferred
- Experience in defense technology, aerospace, or regulated-industry SaaS.
- Exposure to export controls (ITAR, EAR), government contracting (FAR/DFARS), or federal cybersecurity frameworks (FedRAMP, CMMC).
- Familiarity with AI governance and legal review of AI-powered software products.
Compensation & Benefits
- Salary range: $170,000 – $200,000 per year, commensurate with experience and regulatory specialization.
