Overview

This role involves providing legal counsel to support the executive and legal/compliance teams in drafting, reviewing, and negotiating agreements critical to the organization's fundraising, strategic direction, and operations. The position requires close collaboration with delivery, procurement, and corporate development teams within a fast-paced infrastructure business.

Responsibilities

  • Draft, review, and negotiate a wide range of commercial contracts, including vendor, procurement, and customer agreements, considering commercial risk, operational needs, and financing bankability
  • Advise internal stakeholders on contractual risks, obligations, and negotiation strategies
  • Support procurement and delivery teams on equipment, construction, and services agreements related to data center projects
  • Assist with corporate and structuring functions such as entity formation, corporate workflows, and governance negotiations
  • Maintain and improve contract templates, playbooks, and approval workflows
  • Track contractual obligations and support compliance with commercial terms
  • Collaborate with General Counsel/VP Legal on regulatory, tax, and policy matters as needed
  • Support due diligence processes for partnerships, financings, and other transactions
  • Stay current on relevant legal and regulatory developments affecting the business

Requirements

  • Minimum 4 years of experience as a commercial lawyer, either in-house or at a law firm, preferably supporting infrastructure, technology, or energy clients
  • Juris Doctor (J.D.) degree and active bar membership in a relevant jurisdiction (US or England)
  • Strong skills in commercial contract drafting and negotiation
  • Experience with vendor, procurement, or construction-related agreements is advantageous
  • Ability to manage a high volume of contracts and competing priorities effectively
  • Excellent judgment, attention to detail, and communication skills
  • Comfortable working directly with business stakeholders outside of the legal department
  • Experience working in a fast-paced, high-growth environment

Compensation & Benefits

  • Salary range: $160,000 to $210,000, based on role responsibilities
