Overview
Counsel - Reinsurance
This role provides legal support for prospective reinsurance transactions and other transactional matters for multiple U.S. legal entities within the organization. The position reports to the General Counsel and supports the organization’s reinsurance and legal team.
Location: Remote (USA) with CA Bar License
Responsibilities
- Review, prepare, and negotiate legal and transactional documents for prospective reinsurance transactions, including related internal governance approvals.
- Provide transactional reinsurance legal support and advice to business units and executive management on legal and regulatory issues impacting operations.
- Support affiliates on U.S. and international reinsurance transactions, advising on U.S. regulatory and legal issues.
- Research and provide legal advice on legal and regulatory issues.
- Monitor, review, and analyze new federal and state legislation and regulations affecting the organization, affiliates, and the reinsurance industry.
- Advise the business on matters including interpretation and application of terms of agreements, corporate rules, and policies and organizational documents.
- Deliver timely, solution-oriented legal guidance that enables business teams to achieve strategic and commercial goals.
- Utilize artificial intelligence tools and resources (e.g., generative AI).
- Support regulatory filings for approvals of transactions under the Insurance Holding Company Act and the California Insurance Code, including management of governance approval processes and internal policies and procedures.
Requirements
- Juris Doctor (JD) degree from an ABA accredited law school.
- California State Bar license in good standing & required.
- 3–5 years of legal experience at a major law firm, specializing in reinsurance and/or financial transactions.
- Experience in corporate governance and insurance regulation preferred.
- Strong academic credentials and references.
- Solid business or transactional experience with excellent drafting skills.
- Strong analytical skills and strong oral and written communication skills, including negotiation skills.
- High level of personal integrity and accountability; self-starter comfortable working independently in a virtual/remote setup.
- Intellectual curiosity and interest in learning new areas of law.
- Ability to make sound decisions, exercise independent judgment, think commercially, establish priorities, and work effectively on multiple initiatives concurrently.
- Ability to define legal issues, evaluate legal risks, and use creative and strategic approaches to support business initiatives.
- Sound management and interpersonal skills; ability to work effectively in a team and build relationships across business and geographic areas.
- Ability to analyze, research, and communicate legal issues related to statutes and regulations affecting the insurance and financial services industry.
- Ability to understand, draft, and communicate complex agreements and transactions to senior business leaders.
- Proficiency with Microsoft Office (Excel, PowerPoint, Word), online legal research tools, and enthusiasm for embracing new technologies.
- Ability to develop new areas of subject-matter expertise and advise on general corporate matters and initiatives.
- Must be legally authorized to work in the U.S. without requiring immigration sponsorship now or in the future, including holders of H-1B, H4, L-1, L-2, TN, OPT, CPT, and other nonimmigrant visas.
Compensation & Benefits
- Job Posting Range: $140,000.00 – $210,000.00 (base salary)
- The posting range is exclusive of company benefits or other compensation.
- Eligible for an annual incentive program.
- Final base salary is determined based on geographic location, experience, skills, competencies, and/or education, and may consider internal equity. The range represents the full base salary range for the role; hiring at or near the maximum is not typical to allow for future and continued salary growth.
