Overview
A fast-growing technology company is seeking a Commercial Counsel to join their legal team. This role involves shaping the legal function, building processes and policies, and partnering with Sales, Finance, Product, and Engineering teams. The position offers an opportunity to work in a dynamic environment focused on eliminating identity fraud and leading the identity verification market.
Responsibilities
- Provide legal advice on a broad range of commercial matters, partnering with Sales, Customer Success, Finance, Security, and Product teams on deal structure, contract negotiations, risk, and compliance
- Review, draft, negotiate, and interpret various technology and commercial contracts, including SaaS agreements, partner/reseller agreements, NDAs, evaluation agreements, and vendor contracts
- Identify and resolve legal and regulatory risks related to intellectual property, licensing, data use, privacy, and compliance in commercial contracts
- Develop expertise in the company’s products and business models to support new offerings
- Identify risks and propose creative, pragmatic risk-mitigation solutions
- Prepare, maintain, and improve template agreements, playbooks, and operational guidance to streamline sales and legal processes
- Utilize AI tools for contract drafting, redlining, and review to accelerate contract turnaround and improve team efficiency
- Ensure customer contract terms related to data usage rights align with underlying data-acquisition and vendor agreements, coordinating with relevant internal teams
Requirements
- Juris Doctor (JD) from an accredited law school and active Bar membership in good standing
- 4-8 years of post-JD experience independently negotiating SaaS, technology, licensing, partner, and vendor agreements with minimal oversight
- Working knowledge of consumer data privacy laws relevant to commercial contracting (e.g., CCPA/CPRA, GLBA, FCRA) and their impact on customer-facing data terms
- Preferred experience in law firm, data use/licensing, and fintech sectors
- Preferred experience with public sector (SLED and/or Federal) sales contracting, including RFP/RFx responses and government procurement processes
- Comfort using AI tools for contract drafting, redlining, or review; interest in adopting and refining AI-supported processes is a plus
- Strong drive for continuous improvement and willingness to voice opinions
- Ability to independently manage multiple projects with varying deadlines and make decisions under ambiguity
- Focus on closing deals and finding pragmatic solutions

Compensation & Benefits
- Salary range: $150,000 - $180,000
