Overview
This role involves providing strategic, tactical, and solutions-oriented legal support to a global life sciences business, focusing on commercial operations and growth. The Legal Counsel will collaborate closely with business leaders and cross-functional teams to deliver impactful legal and compliance guidance, ensuring alignment between legal risk and business objectives. The position requires drafting, reviewing, and negotiating a broad range of agreements while supporting commercial initiatives across regions. A global mindset and cultural sensitivity are essential for working with international teams. The role reports to the Assistant General Counsel and is part of the Legal function. It is remote, with a preference for candidates located within commutable distance to the Indianapolis, IN office.
Responsibilities
- Lead review, drafting, and negotiation of complex global commercial agreements, including sales, procurement, distribution, SaaS, licensing, and joint development agreements.
- Provide pragmatic legal counsel on commercial matters, compliance, and data privacy, balancing legal risk with business objectives.
- Enhance legal operations by improving processes, maintaining global contract templates, and standardizing policies and procedures.
- Support enterprise priorities such as mergers and acquisitions (M&A) and cross-functional initiatives.
- Partner closely with intellectual property, regulatory, compliance, and privacy teams.
- Contribute to litigation or regulatory matters as needed.
- Build strong partnerships across the organization and the broader legal network, leading initiatives and fostering continuous improvement.
Requirements
- Minimum of 3 years as a licensed U.S. attorney with experience in a nationally recognized law firm and in-house; life sciences experience preferred.
- Active U.S. Bar membership in good standing.
- Excellent academic credentials.
- Demonstrated leadership and strategic thinking, including mentoring and team building.
- Substantial deal and negotiation experience with a leadership track record on executed transactions such as partnerships, collaborations, licensing, M&A, and research agreements.
- Ability to manage multiple concurrent priorities and stakeholders.
- Experience leveraging AI tools and technologies to improve legal processes and increase efficiency.
- Ability to travel globally up to 20% of the time.
Preferred Qualifications
- Experience in healthcare regulation.
- Experience with software licensing.
Compensation & Benefits
- Salary range: $120,000 - $150,000 (may be adjusted).
