Overview

The organization is seeking Legal Counsel, Head of Development & Real Estate Legal to join the Legal team. This role reports directly to the General Counsel and partners closely with functional teams across the organization.

The employer operates and develops power and data center infrastructure, including co-locating industrial demand with dedicated gas and renewable power generation. The organization has a fully flexible workplace and supports in-person team connections through recurring team gatherings and hub locations.

Location & Team Gatherings

  • Fully flexible workplace options (not work-from-home-only, hybrid, or in-office-only).
  • Team connections occur through team gatherings four times per year and at hub locations: SF Bay Area, NYC Metro Area, NY; Denver, CO; Austin, TX; Calgary, AB; and Toronto, ON.
  • Candidates should be located within 60 miles of any listed hubs to foster more in-person connections while maintaining a flexible remote culture.

Responsibilities

  • Serve as the lead in-house development and real estate attorney, overseeing strategic development and real estate issues for project finance and M&A transactions.
  • Conduct and respond to due diligence inquiries and draft, review, and manage development and real estate closing deliverables.
  • Oversee the real estate team’s review of title commitments, title proformas, title policies, and surveys; provide analyses and support/supervision for title curative work related to project finance, construction, and/or operations.
  • Manage legal development matters requested by the development team across project design, site control, permitting, regulatory matters, real estate, and interconnection.
  • Oversee, draft, maintain, and administer general processes and policies regarding site access.
  • Interface with Google energy and real estate attorneys on development and real estate issues.
  • Engage with internal executives, an internal risk committee, and external third parties and stakeholders to support approval and execution of development transactions and key contracts.
  • Manage and develop in-house development and real estate legal teams.
  • Manage outside development and real estate counsel supporting transactions and contract negotiations.
  • Maintain an entrepreneurial, problem-solving mindset and support related project functions.
  • Participate in other legal tasks as requested by the broader Legal team.

Requirements

  • J.D. from an accredited law school and current license to practice.
  • Experience negotiating various agreements in the renewables energy industry.
  • Ability to analyze complex issues and advise internal business partners appropriately.
  • Willingness to work in a fast-paced environment, managing more than one project at a time.
  • Ability to work independently, handle pressure, and follow through on tasks to completion in a timely manner.
  • Prior experience managing lawyers and paralegals.

Compensation & Benefits

  • Total Compensation: $420,000 - $440,000 (total compensation includes base salary + bonus in USD)
