Overview
A growing organization with a global portfolio of over 150 companies is seeking a highly skilled and business-minded Legal Counsel to support day-to-day operations across multiple company portfolios and assist with M&A activities from the operations perspective. This role involves providing strategic legal guidance on a wide range of matters critical to growth and operations, including drafting, negotiating, and managing complex commercial agreements such as software licensing, SaaS, vendor, and partnership agreements. The Legal Counsel will also support corporate governance, M&A due diligence, and multi-jurisdictional legal issues.
Responsibilities
Commercial & Operations Support
- Draft, review, and negotiate commercial agreements including software licensing, SaaS agreements, and vendor contracts
- Provide legal support for customer agreements and partnership arrangements
- Advise on corporate governance matters and compliance issues
- Support employment law matters and HR initiatives
- Assist with intellectual property matters including software licensing and IP management/protection
General Corporate Support
- Maintain corporate records and ensure compliance with corporate formalities
- Provide legal guidance on regulatory compliance matters
- Collaborate with business teams to identify and mitigate legal risk
Required Qualifications
- Juris Doctor (J.D.) from an accredited law school
- Active admission to practice law in good standing in the United States
- Minimum 5 years of legal practice experience, either in a law firm or in-house
- Exceptional drafting and negotiation skills with demonstrated ability to draft and structure complex commercial agreements
- Strong analytical and problem-solving abilities with sound legal judgment
- Proven business acumen and ability to provide practical, commercially oriented legal advice
- Experience managing multiple priorities and stakeholders in a fast-paced environment
- Excellent communication skills with ability to distill complex legal concepts for business audiences
- Ability to navigate multi-jurisdictional legal issues and coordinate with international stakeholders
Technical Knowledge
- Technology, software, and AI licensing agreements and SaaS business models
- Commercial contracts including vendor agreements, partnership arrangements, and customer agreements
- Global corporate governance and compliance frameworks
- M&A support and due diligence
- International and U.S. operations
- Employment law and HR-related legal matters
- Intellectual property management and protection
