Overview

An organization specializing in AI-native credit infrastructure is seeking an experienced Corporate Counsel at the Director level to join their U.S. legal team. This role involves providing expert legal guidance on capital markets, complex commercial transactions, and corporate governance to support business operations and strategic growth.

Responsibilities

  • Provide expert advice on capital markets transactions globally, including debt financings, loan origination partnerships, forward flows, stablecoin and crypto-denominated facilities, and other asset-based financings
  • Draft, review, and negotiate a wide range of legal documents, including commercial contracts
  • Assist with corporate governance matters, board management, and ensure compliance with corporate foundational documents
  • Provide counsel on equity management, including administration of cap tables and employee options
  • Serve as a key legal advisor on major business transactions such as fundraising rounds and joint ventures
  • Oversee due diligence processes and advise on legal implications of business decisions
  • Collaborate with Finance, Capital Markets, Product, and other cross-functional teams to support business objectives and mitigate legal risks
  • Develop and implement policies and procedures to ensure efficient operation of the legal department

Requirements

  • Juris Doctor (JD) degree from an accredited law school
  • Admission to practice law in at least one U.S. state
  • Minimum of 6 years of relevant legal experience in a law firm or corporate setting
  • Proven track record handling complex commercial transactions
  • Strong background in capital markets and corporate governance
  • Excellent analytical, negotiation, and communication skills
  • Ability to work independently and manage multiple priorities in a fast-paced international environment
  • In-house experience in FinTech and/or working with emerging markets is a plus

Compensation & Benefits

  • Salary range: $216,000 - $260,000 per year

  • U.S. based, remote-first work environment with office hubs in Santa Monica, CA (HQ), Nairobi, Kenya; Mexico City, Mexico; Manila, the Philippines; and Bangalore, India
