Overview

This role involves leading the global Procurement Legal team by setting strategy and directing execution for vendor and third-party transactions. The Legal Director, Procurement will provide both general and strategic legal support in a fast-paced environment, balancing operational execution with long-term strategic goals.

Responsibilities

  • Lead and mentor a team of attorneys and legal professionals, ensuring high-quality legal advisory services aligned with business objectives.
  • Provide in-house legal support for procurement activities, including negotiating complex vendor and third-party agreements.
  • Review, draft, and negotiate a variety of agreements such as technology licenses (SaaS, software, cloud), consulting, professional services, telecom, hardware, marketing, real estate, and related documents including SLAs, security exhibits, and privacy addenda.
  • Identify, manage, and escalate legal risks and issues during negotiations, especially those with enterprise-wide impact.
  • Develop and maintain standard contract templates and playbooks; guide contracting processes to ensure consistency and alignment across functions.
  • Present complex legal issues clearly and provide concise, results-oriented advice balancing business goals and risk mitigation.
  • Act as a strategic partner to senior business leaders, proactively shaping business decisions and outcomes.
  • Collaborate with other legal teams to provide comprehensive guidance on interrelated matters.
  • Work closely with Procurement and Vendor Risk Management to develop and operationalize vendor assessment, onboarding, risk monitoring, compliance, and offboarding processes.
  • Manage contractual queries and pre-litigation disputes related to vendor contracts.
  • Support process improvements within the legal team to enhance efficiency and consistency.
  • Assume additional responsibilities as needed.

Requirements

  • Juris Doctor (J.D.) from an accredited law school.
  • Minimum 10 years of legal experience, admitted to practice in at least one U.S. state.
  • Significant experience negotiating technology license agreements including SaaS, software, cloud, and ancillary documents.
  • Experience with consulting, professional services, telecom, hardware, marketing, and real estate agreements.
  • Confidence engaging with senior management and sophisticated vendors.
  • Excellent verbal, written, and interpersonal communication skills.
  • Strong problem-solving, analytical, and issue resolution abilities.
  • Ability to understand complex commercial and technical issues and integrate legal strategy with business objectives.
  • Familiarity and developing proficiency with AI tools and a willingness to incorporate AI into workflows.
  • Effective organizational and multitasking skills, capable of managing high contract volumes.
  • Self-starter with sound judgment and appropriate escalation skills.
  • Proactive in continuous improvement and learning.

Compensation & Benefits

  • Base pay range: $195,000.00 - $223,800.00, with actual pay based on qualifications and experience.
  • Non-sales roles may be eligible for quarterly or annual bonuses.
