Overview

This role involves working on assignment with leading law firm clients as a leveraged finance attorney. The work focuses on leveraged finance transactions, including leveraged buyouts (LBOs) and acquisition financings. The ideal candidate can step into sophisticated finance matters with minimal ramp-up and has strong familiarity with credit facilities and documentation, secured lending structures, syndicated lending, refinancings, recapitalizations, and amendments.

Responsibilities

  • Represent lenders and/or borrowers/sponsors in leveraged finance transactions, including:
    • Leveraged buyouts (LBOs)
    • Acquisition financings
    • Credit facilities and related credit agreements
    • Security agreements, guarantees, and collateral packages
    • Intercreditor agreements
    • Syndicated lending transactions
    • Refinancings, recapitalizations, and amendments
  • Handle complex banking and finance documentation and related negotiations with minimal ramp-up
  • Collaborate with law firm clients on transaction execution and legal strategy

Requirements

  • 5+ years of leveraged finance experience representing lenders and/or borrowers/sponsors, preferably at an AmLaw 100 firm
  • Excellent academic credentials
  • Outstanding references
  • Licensed and in good standing in state of residence

Preferred Qualifications

  • Experience working with banking and financial institution clients
  • Exposure to asset finance, structured finance, fund finance, or other complex banking and finance transactions

Compensation & Benefits

  • Pay: The annualized pay for this contract position ranges from $249,600 to $312,000 when calculated on a full-time basis.
  • Pay for contract roles is based on multiple factors including work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference.

  • Contract professionals are usually W2 employees and are eligible for full benefits when working in roles for 20 hours per week.
