This contract position involves providing legal expertise in mergers, acquisitions, and corporate transactions. The attorney will support drafting and negotiating transaction documents and ensure compliance with relevant regulatory requirements.

Responsibilities

  • Draft, review, and negotiate mergers and acquisitions agreements, including purchase agreements, asset purchase agreements, and stock purchase agreements.
  • Conduct due diligence on target entities to identify legal risks and liabilities.
  • Advise on corporate governance, compliance, and regulatory matters related to M&A transactions.
  • Coordinate with cross-functional teams such as finance, tax, and operations to facilitate transaction execution.
  • Ensure all transaction documentation adheres to legal standards and mitigates potential liabilities.

Requirements

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in a state bar association.
  • Minimum of 3 years of experience in M&A transactions.
  • Strong understanding of corporate law, securities regulations, and contract drafting.
  • Experience with domestic and cross-border M&A transactions.
  • Ability to analyze complex legal documents and identify critical issues.
