- Compensation: $80 - $105/hour
This contract position involves providing legal expertise in mergers, acquisitions, and corporate transactions. The attorney will support transaction execution by drafting and negotiating documents and ensuring regulatory compliance.
Responsibilities
- Draft, review, and negotiate mergers and acquisitions agreements, including purchase agreements, asset purchase agreements, and stock purchase agreements.
- Conduct due diligence on target entities to identify legal risks and liabilities.
- Advise on corporate governance, compliance, and regulatory matters related to M&A transactions.
- Coordinate with cross-functional teams such as finance, tax, and operations to facilitate transaction execution.
- Ensure all transaction documentation complies with legal standards and mitigates potential liabilities.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in a state bar association.
- Minimum of 3 years of experience in M&A transactions.
- Strong understanding of corporate law, securities regulations, and contract drafting.
- Experience with domestic and cross-border M&A transactions.
- Ability to analyze complex legal documents and identify critical issues.
