- Compensation: $80 - $105/hour
This contract position involves providing legal expertise in mergers, acquisitions, and corporate transactions. The attorney will support drafting and negotiating transaction documents and ensure compliance with relevant regulatory requirements.
Responsibilities
- Draft, review, and negotiate mergers and acquisitions agreements, including purchase agreements, asset purchase agreements, and stock purchase agreements.
- Conduct due diligence on target entities to identify legal risks and liabilities.
- Advise on corporate governance, compliance, and regulatory matters related to M&A transactions.
- Coordinate with cross-functional teams such as finance, tax, and operations to facilitate transaction execution.
- Ensure all transaction documentation adheres to legal standards and mitigates potential liabilities.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in a state bar association.
- Minimum of 3 years of experience in mergers and acquisitions transactions.
- Strong understanding of corporate law, securities regulations, and contract drafting.
- Experience with domestic and cross-border M&A transactions.
- Ability to analyze complex legal documents and identify critical issues.
