Overview
A growing legal team is seeking a Managing Counsel, APAC based in India to handle a broad range of legal matters with a focus on corporate governance and commercial issues. This role supports a fast-paced environment and partners with cross-functional teams to enable substantial growth while managing risk and protecting the business.
Responsibilities
- Prepare agendas, notices, and minutes for board meetings, committees, and annual general meetings (AGM), and execute follow-up actions
- Draft, review, and negotiate a wide range of commercial contracts, including Master Services Agreements, Services Agreements, Statements of Work, Service Level Agreements, Order Forms, and NDAs
- Provide general transactional legal support across the organization, with emphasis on sales and procurement
- Assist in developing local policies and procedures
- Stay informed on legal developments affecting commercial agreements, corporate governance, employment, and related areas
- Provide practical, business-oriented legal advice to stakeholders across sales, procurement, finance, HR, product, and leadership teams
- Advise on employment and labor law matters, including labor code compliance, employee relations, and policy implementation
- Help create and enhance legal playbooks to scale the legal function as the company grows
- Support and mentor junior legal team members and contribute to developing scalable legal processes and best practices
- Work effectively across different functional groups and time zones
- Ensure agreements align with internal policies, playbooks, and processes
- Support the legal team on other legal matters as needed
Requirements
- Fully qualified lawyer admitted to practice law in India
- Minimum 6+ years of experience drafting, reviewing, and negotiating commercial customer and vendor agreements and advising on corporate governance for Indian entities, either in-house or at a nationally recognized law firm
- Ability to review and negotiate a wide range of commercial contracts
- Experience providing day-to-day legal support to cross-functional stakeholders including Sales, Procurement, Finance, HR, and leadership
- Strong knowledge of Indian employment and labor laws, including advising on labor code compliance, workforce matters, disciplinary actions, and HR policies
- Ability to deliver practical, risk-based legal advice balancing business objectives and legal risk
- Experience managing, developing, and coaching team members
- Strong business acumen with a pragmatic, business-friendly approach while maintaining appropriate legal risk balance
- Experience advising international teams and managing cross-border legal and commercial matters
- Effective communication skills with internal and external professionals of diverse backgrounds
- Energetic, authentic, friendly, with strong negotiation skills and the ability to support difficult positions firmly and patiently
Preferred Qualifications
- Experience with training, contract management systems, and data privacy
Location
This role can be based in Delhi, Bangalore, Pune offices or remotely within India.
