Overview

A global HR technology organization is seeking a Managing Counsel - Commercial to provide senior-level legal support focused on commercial transactions. This role involves delivering pragmatic and innovative legal solutions for commercial deals, embedded partnerships, resell, and channel arrangements, primarily supporting the EMEA sales team with additional support to AMER sales as needed. This is a senior individual contributor position without managerial responsibilities.

Responsibilities

  • Serve as the primary legal advisor to EMEA sales teams, providing timely and practical support on Terms of Service negotiations, contract redlining, and commercial agreement reviews.
  • Support AMER sales teams with legal guidance to ensure consistent regional coverage.
  • Strategize, draft, and negotiate partnership and channel/reseller agreements.
  • Collaborate closely with Sales, Finance, and other cross-functional teams to structure and review commercial agreements that align with business objectives while mitigating legal and operational risks.
  • Develop and improve templates, playbooks, processes, and knowledge resources related to commercial transactions and sales support.
  • Provide legal training and guidance to internal stakeholders, particularly sales teams.
  • Approach negotiations with a solutions-focused mindset to minimize roadblocks and resolve issues efficiently.

Requirements

  • Proven expertise in supporting commercial transactions, especially enterprise-level SaaS agreements, Terms of Service negotiations, and sales contract reviews.
  • Experience supporting sales teams in the EMEA region is highly valued.
  • Experience with partnership and channel/reseller agreements is a strong plus.
  • Strong commercial drafting skills with the ability to create clear, precise, and enforceable agreements.
  • Excellent negotiation skills and the ability to develop creative, practical solutions for complex commercial challenges.
  • Sharp commercial instincts and strategic thinking, with a focus on business success and efficient deal progression.
  • Strong working knowledge of data protection laws, particularly GDPR; familiarity with U.S. data protection laws is a plus.
  • Ability to excel in a fast-paced environment, maintaining responsiveness and adaptability under pressure.
  • Capacity to work independently while collaborating effectively with Sales, Finance, Product, and other teams.
  • Ability to build trusted relationships with go-to-market stakeholders while maintaining independent legal judgment.
  • Balanced approach to flexibility and firmness in negotiations, acting as a strategic business partner.
  • Demonstrated automation and AI capabilities and fluency.

Preferred Qualifications

  • Prior experience in the HR Tech industry or familiarity with bespoke HR services agreements is beneficial.
  • A sense of humor and humility that contributes positively to team dynamics.

Compensation & Benefits

  • Annual salary range: $66,300—$149,150 USD (dependent on location, skills, experience, and market demands).

Location

  • This is a fully remote position.
  • Applications from EMEA time zones will be prioritized; East Coast US time zone is a secondary preference.
