Overview
An organization is seeking an experienced and highly organized Paralegal Analyst to join their in-house legal department. This role focuses on corporate governance, corporate secretarial, and regulatory matters, supporting governance and regulatory processes throughout the company. The ideal candidate is detail-oriented, proactive, and comfortable working across multiple legal fields.
Responsibilities
- Assist the corporate secretarial team by managing corporate records and minute books for subsidiaries.
- Monitor director and officer appointments, document entity formations and dissolutions, prepare routine filings, and respond to inquiries related to subsidiaries.
- Participate in subsidiary board of director and committee meetings; prepare, coordinate, and distribute meeting materials including agendas, resolutions, minutes, and consent actions.
- Serve as a liaison between legal, internal business partners, and external service providers regarding board and committee meetings, governance activities, and filings.
- Prepare and revise corporate resolutions, written consents, secretary’s certificates, incumbency certificates, governance documents, and intercompany agreements.
- Complete, file, and submit regulatory forms and filings required for subsidiaries.
- Manage complex projects independently, including conducting legal research, drafting legal and regulatory memoranda, and assisting with process improvements such as enhancing templates, workflows, and governance policies.
- Provide paralegal support to lawyers on corporate transactions, securities-related matters, privacy and data security, tax, and human resources.
Requirements
- Bachelor's degree or equivalent experience.
- Minimum of 6 years of related legal and/or corporate/regulatory experience.
- Significant expertise in corporate secretarial matters with a strong understanding of corporate governance principles, board processes, and entity management.
- Experience supporting various corporate legal activities such as business transactions, securities, tax, privacy, data security, and/or human resources is preferred.
- Strong attention to detail and ability to manage multiple projects and deadlines simultaneously.
- Excellent written and verbal communication skills, capable of interacting professionally with senior leaders, directors, internal partners, and third parties.
- Demonstrated experience in legal research.
- Proficiency with Microsoft Office, Copilot, Excel, document management systems, and legal tools such as Westlaw CoCounsel.
- Familiarity with state insurance regulatory filings is preferred.
Compensation & Benefits
- Salary range for non-exempt positions: $26.83 - $48.46 per hour.

- Wichita, KS: $26.83 - $36.35 per hour
- Des Moines, IA: $28.32 - $38.37 per hour
- Charlotte, NC: $29.81 - $40.38 per hour
- Chicago/Minneapolis: $32.79 - $44.42 per hour
- Los Angeles/New York City: $35.77 - $48.46 per hour
- Non-sales positions are eligible for a bonus program.
- Personal Time Off (PTO) is provided to hourly employees for vacation, personal, or short-term illness.
- Pension eligibility is included.
