Overview
This role is for a Paralegal / Corporate Legal Manager to join an in-house Legal and Compliance team. The position involves broad responsibilities within the corporate legal function, including equity administration, contract review and management, corporate governance, entity management, and regulatory filings. The role requires collaboration with senior leadership and multiple departments such as People, Finance, Operations, Insurance Product, and Growth, as well as external counsel and regulators.
Responsibilities
Equity Administration
- Administer the company's equity program using Carta, managing new-hire and promotion grant cycles.
- Prepare board and committee consents and maintain the capitalization table.
- Manage the contract intake queue by triaging incoming agreements and tracking them through to signature.
- Coordinate with People and Finance teams on grant data, valuation inputs, and equity reporting.
Contract Review and Management
- Oversee the contract intake queue: triage incoming agreements, route for review, and track progress to signature.
- Draft and review NDAs, consulting agreements, independent contractor agreements, and conduct first-pass reviews of vendor contracts.
- Maintain a contract audit by cataloging active agreements, identifying contract owners, and tracking renewals and key dates.
- Administer the contract management system and maintain organized electronic document and file management.
- Utilize AI tools to conduct initial reviews and redlining of contracts, flagging non-standard terms for follow-up.
- Extract key contract terms to populate and maintain the contract audit tracker.
Corporate Governance and Entity Management
- Manage formation, qualification, and ongoing good standing of company entities including holding company, insurance company, and affiliated entities.
- Prepare and file Secretary of State documents, including foreign entity and trade name registrations; maintain registered agent relationships.
- Prepare materials for and attend Board and committee meetings; draft minutes, resolutions, and written consents.
- Maintain corporate records, entity organizational charts, and governance databases.
Regulatory and Statutory Filings
- Prepare and file annual statutory filings for holding and insurance entities.
- Manage NAIC and state filings for new-state launches and maintain the annual re-filing calendar to ensure compliance.
- Support insurance regulatory applications and state Department of Insurance portal submissions.
- Assist in drafting compliance documents such as protocols, memos, guidelines, audit reports, and market conduct exam responses.
Cross-Functional and Department Support
- Collaborate with People, Finance, Operations, Insurance Product, Growth teams, and outside counsel on corporate legal matters.
- Develop and maintain standard operating procedures, process trackers, and self-service tools to support department scalability.
- Provide project tracking and administrative support to senior counsel and the legal team, including scheduling and deadline management.
- Provide backup support to claims-legal functions as needed, including examination-under-oath scheduling.
- Leverage AI tools to identify relevant case law and generate baseline drafts for routine correspondence.
Requirements
- Minimum 5 years of experience as a corporate paralegal in an in-house legal department or law firm.
- Strong drafting, organizational, and project management skills with discretion handling confidential matters.
- Proficiency with Google Workspace and Microsoft Office.
- Familiarity with equity administration platforms such as Carta.
- Understanding of NAIC filings, state Department of Insurance portals, and holding-company structures.
- Experience with mergers and acquisitions or startup-to-exit corporate work.
- Insurance or insurtech experience is a plus.
- Excellent communication skills and ability to work in a fast-paced environment.
- Detail-oriented with strong problem-solving abilities.
Preferred Qualifications
- Hands-on experience with debt and equity financing from startup through later stages.
- Familiarity with IPO processes and corporate governance best practices.
- Experience using legal AI tools for administrative efficiency.
- Comfort and/or experience using AI tools to accelerate contract review, drafting, and filing tracking.

- Base compensation range: $45.00-$55.00 (USD) per hour.
