Overview
This role supports intellectual property portfolio management and corporate governance activities for organizations in the Americas. The position works with business stakeholders, in-house attorneys, and outside counsel to ensure deadlines, documents, and approvals are tracked and completed on time.
Responsibilities
- Manage domestic and international patent and trademark docketing, tracking application progress, prosecution events, response deadlines, and maintenance fees.
- Coordinate patent and trademark filings and prosecution matters with employees, in-house attorneys, and outside counsel.
- Maintain accurate IP portfolio records and help develop budgets for filing and maintaining patents and trademarks.
- Prepare and circulate board, shareholder, and committee resolutions, meeting minutes, and meeting materials using established templates and guidance from attorneys; coordinate review, approvals, signatures, and filing.
- Maintain corporate records including organizational charts, officer and director lists, policies, and delegation-of-authority documentation across legal entities.
- Track annual report filings, business registrations, and other governance obligations using organized calendars and records.
- Administer entity management and registered agent platforms, and coordinate service-of-process notifications to the appropriate personnel.
- Support audits and corporate records requests, including entity formations, dissolutions, mergers, and restructurings.
- Assist with contract lifecycle management, board onboarding and training, and other legal team projects.
Requirements
- Bachelor’s degree (highly preferred).
- 5+ years of direct experience in patent and trademark docketing or corporate governance.
- Knowledge or experience in intellectual property administration or corporate governance, with the ability and interest to learn additional areas.
- Strong organization and attention to detail, including the ability to manage competing deadlines, maintain accurate tracking systems, and identify missing or inconsistent information.
- Ability to research issues, identify relevant information, and develop practical solutions with appropriate guidance.
- Clear, timely communication and consistent follow-through with colleagues, attorneys, and external partners.
- Sound judgment, discretion, and accountability when handling confidential and time-sensitive information.
- Comfort with legal technology, including generative AI tools, and ability to learn new systems and workflows quickly.
Preferred Qualifications
- In-house or law firm experience supporting patent and trademark prosecution, IP portfolio management, or corporate governance.
- Familiarity with domestic and foreign patent and trademark procedures, USPTO filing systems, or preparing documents for submission.
- Experience with board resolutions, meeting minutes, corporate filings, and Delaware corporate governance requirements.
- Familiarity with IP docketing software, entity management platforms, or DocuSign.
- A paralegal certificate, Corporate Governance Professional certification, Chartered Governance Institute qualification, Master of Legal Studies, or a related credential.
- Working knowledge of Japanese language and culture.
Compensation & Benefits
- Salary range: $82,600–$113,500.
- Base pay may be influenced by scope and responsibilities, work experience, education/training, job-related skills, internal peer equity, and market/business considerations.
- Base pay may be subject to geographic adjustment if authorization is granted to work outside of the posted location.
