Overview

Part-time contract in-house counsel attorney position supporting a healthcare and telehealth-focused organization.

This role is fully remote (work from home) and is expected to average approximately 30 hours per week, with flexibility to increase hours—potentially approaching full-time during periods of heightened transaction activity, deal flow, or other significant business needs.

Responsibilities

  • Independently triage and manage a high volume of contracts, business questions, and other day-to-day legal requests from internal stakeholders
  • Draft, review, negotiate, and manage a wide variety of commercial agreements, including vendor, services, technology, confidentiality, customer/client, and strategic partnership agreements
  • Support sophisticated corporate transactions, including M&A matters and the drafting, review, and negotiation of transaction-related agreements
  • Advise executive leadership regarding corporate governance, corporate structuring, entity management, intercompany agreements, board-related matters, and other general corporate legal issues
  • Assist with post-acquisition and organizational matters, including evaluating transaction documentation, acquired rights and obligations, entity relationships, and related corporate matters
  • Support legal review of new business initiatives, operational projects, acquisitions, and strategic growth opportunities
  • Provide practical, real-time guidance on contract interpretation, risk allocation, business operations, and strategic matters in a fast-moving environment
  • Partner with internal stakeholders to identify, assess, and mitigate legal and commercial risks while enabling the business to move efficiently
  • Help establish and improve practical legal processes, contract management practices, and other legal operations initiatives as the organization scales
  • Identify matters requiring specialized expertise and coordinate with outside counsel on larger, specialized, or particularly complex projects
  • Provide sophisticated general corporate and commercial legal support across a wide range of business matters as they arise

Requirements

  • 8+ years of sophisticated corporate, transactional, commercial, and business law experience
  • Significant experience serving as in-house counsel, corporate counsel, assistant general counsel, deputy general counsel, general counsel, or a similar role
  • Meaningful experience supporting M&A and other strategic corporate transactions, including drafting, reviewing, and negotiating transaction documents
  • Strong experience drafting, reviewing, negotiating, and advising on a broad range of commercial agreements
  • Extensive experience advising businesses on corporate governance, corporate structuring, entity management, intercompany arrangements, board matters, and general corporate legal issues
  • Experience independently managing and prioritizing a high volume of commercial contracts, business questions, and other day-to-day legal requests
  • Big Law corporate/M&A transactional experience strongly preferred
  • Experience supporting healthcare, pharmacy, telehealth, life sciences, or another highly regulated and rapidly evolving business environment preferred but not required
  • Ability to provide practical, business-oriented legal advice and sophisticated legal work product with minimal supervision
  • Ability and willingness to flex hours based on transaction activity, deal flow, and evolving business needs
  • Excellent academic credentials from an ABA-accredited law school
  • Excellent analytical, written, verbal, and interpersonal skills
  • Licensed to practice law in at least one U.S. jurisdiction
  • Outstanding professional references

Compensation & Benefits

  • Pay: Annualized pay ranges from $220,000 to $260,000+ when calculated on a full-time basis. Pay for contract engagements is based on multiple factors, including work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate).
  • Benefits: Contract professionals are typically W2 employees and are eligible for full benefits when working in roles for 20 hours per week.
