Overview
This role provides a variety of general corporate and commercial support to the organization and its internal clients. Under the supervision of the Senior Counsel and Manager, the Principal Contract Specialist supports contract-related matters and applicable state and federal law and regulations. The role also contributes during the ideation phase of new products or product variations, including complex corporate matters that require in-depth evaluation and interpretation.
Responsibilities
- Review, draft, and negotiate complex contracts and other legal documentation with customers, strategic partners, suppliers, and others seeking to contract, including:
- Agreements for participation in the organization’s networks for health information messaging and connectivity
- Data use agreements
- Technology licensing agreements
- Joint research projects
- Vendor contracts for services or equipment to the organization under the supervision of an attorney
- Manage complex projects assigned on behalf of organizational departments or market segments under the supervision of an attorney
- Draft, maintain, and update contract templates for frequent transaction types and custom contracts for infrequent transactions
- Ensure all relevant facts and legal considerations are assembled, assessed, and accurate before contracts are presented for execution
- Evaluate and advise on appropriate legal courses of action to meet organizational and business unit needs in consultation with the Senior Counsel and Manager
- Assess and apply internal and external federal, state, and industry compliance activities
- Assess, improve, and build contract processes and workflows to increase contracting efficiencies and speed to execution
- Demonstrate expertise in relevant contractual procedures and practices
- Manage electronic contracts databases (including Salesforce and DocuSign CLM) and prepare relevant contract attributes to track terms and conditions
- Maintain records of other matters undertaken by the legal department, as directed by the Commercial Legal Team
- Maintain detailed and organized electronic files
- Establish and maintain turnaround times to assist business teams with setting customer expectations
- Serve as a legal department representative on teams addressing various organizational initiatives
- Perform other duties as assigned or required by the Commercial Legal Team
Requirements
Basic Requirements
- Bachelor’s degree or equivalent experience
- 8+ years of experience at a law firm or in-house managing, drafting business contracts, and negotiating to successful conclusion
- 8+ years of experience drafting and negotiating contracts related to data rights/license agreements and other intellectual property under the supervision of an attorney
- 8+ years of experience engaging with business clients on both sides of the contract/transaction
Preferred Qualifications
- Experience in the healthcare industry
- Knowledge of privacy and data security matters in the healthcare sector
- Experience providing legal support to an assigned product and/or service within a corporation
- Experience with Salesforce, including demonstrated proficiency using Salesforce and/or a contract lifecycle management system
Compensation & Benefits
- Base pay range: $147,200 - $179,900 per year
- Base pay may vary within or outside the range based on factors including qualifications, skills, experience, and location

Location
- Flexible Hybrid Work model: most positions allow employees to work virtually while utilizing offices as collaboration centers; with alignment and agreement from leadership, employees can come and go from the office as needed.
