Overview

A leading organization in the Technical Services sector is seeking a Principal Counsel specializing in M&A and Corporate law. This role focuses on initiatives that combine scalable technology, AI-enabled capabilities, and business transformation. The position involves collaboration across engineering, product, and business teams to translate complex requirements into practical technology solutions. It offers the opportunity to influence architecture, execution quality, and long-term innovation within a technical services environment.

Location: Remote (U.S. based candidates only, no visa sponsorship available)

Compensation: $206,700 – $330,700 annually

Responsibilities

  • Serve as the principal counsel for strategic transactions, leading the process from negotiation through post-close integration
  • Manage mid-sized deals independently and provide tactical direction to outside counsel for larger transactions
  • Provide real-time legal advice directly to key stakeholders, owning the legal perspective in discussions
  • Conduct thorough due diligence and synthesize legal risks into actionable recommendations for leadership
  • Develop and maintain deal infrastructure to improve repeatability and efficiency across transactions
  • Collaborate with investment teams on corporate ventures and portfolio management related to strategic investments

Requirements

  • Juris Doctor (JD) from an accredited law school
  • Active bar membership in at least one U.S. jurisdiction
  • 15+ years of corporate and transactional law experience, including significant in-house experience at a technology or SaaS company
  • Proven ability to advise senior leadership directly on high-stakes transactions with confidence
  • Experience managing deals independently and providing strategic direction to outside counsel for complex matters
  • Broad expertise in corporate legal domains including transactions, securities, governance, and commercial law
  • Strong understanding of public company securities regulations and governance frameworks, especially in M&A contexts
  • Hands-on experience with AI-enabled legal workflows and a proactive approach to integrating technology into legal practices

Preferred Skills and Experience

  • Well-calibrated judgment in Delaware and public company governance
  • Familiarity with corporate development frameworks such as playbooks and templates
  • Experience with legal compliance technologies (e.g., compliance tracking software)
  • Proficiency with deal management tools (e.g., Contract Lifecycle Management systems)
  • Experience using document automation tools (e.g., DocuSign, Contract Express)
  • Knowledge of data analytics tools for legal analytics (e.g., iManage, LexisNexis analytics)
