Private Funds and Investment Management Paralegal

Overview

This is a fully remote position.

This role supports attorneys across the full lifecycle of private funds. The position focuses on managing legal and regulatory processes efficiently to help ensure the integrity and compliance of fund operations.

Responsibilities

• Assist with entity formation and draft governing documents
• Maintain corporate records
• Prepare subscription agreements for investors
• Prepare and file SEC documents, including Form D and Form ADV
• Manage Blue Sky filings
• Coordinate closing processes
• Manage investor subscription documents, including KYC/AML
• Handle side letters
• Maintain fund status charts
• Track deliverables
• Manage data rooms

Requirements

• Minimum four years of corporate paralegal experience in private funds or investment management
• Bachelor’s degree required; ABA-approved paralegal certificate preferred
• Strong attention to detail
• Proficiency in Microsoft Office and document management systems such as DocuSign
• Experience with SEC and Blue Sky regulations
