Overview

A Fortune 100 automotive company is seeking an experienced lawyer with 8+ years of expertise in reorganizations, recapitalizations, bankruptcy, restructuring, and supply chain or manufacturing law for an ongoing engagement. This role involves providing legal guidance on complex commercial and financial situations involving financially distressed and bankrupt suppliers.

Responsibilities

  • Serve as a primary legal partner to the Transactions and GTM team, offering expert advice on complex restructuring workflows and negotiations.
  • Draft and negotiate restructuring-specific documents such as accommodation agreements, access agreements, term sheets, subordinated loan agreements, and forbearance agreements.
  • Provide rapid, practical legal counsel for out-of-court restructurings and formal Chapter 11 bankruptcy proceedings to ensure production continuity.
  • Represent the company in multi-company customer groups, collaborating with other OEMs, financial advisors, and lenders to secure production accommodations.
  • Manage multiple time-sensitive distressed supplier matters simultaneously, participate in regular internal status calls, and deliver actionable risk assessments.
  • Advise business partners on contractual risks, tooling recovery, supplier loan defaults, and support workflows related to debit set off deferrals and component resourcing.
  • Utilize generative AI tools and existing precedents to standardize workflows and improve efficiency within the distressed supplier legal function.

Requirements

  • Extensive knowledge of corporate restructuring, out-of-court workouts, Chapter 11 bankruptcy procedures, and Article 2 of the Uniform Commercial Code.
  • Experience with Am Law 100 firms and in-house legal departments is preferred.
  • Ability to work Eastern Time (US) hours.
  • Flexibility to work 40 to 50 hours per week, including off-hours, to handle urgent, time-sensitive negotiations.
  • Michigan Bar membership or eligibility for a Michigan special certificate for in-house counsel is preferred.
  • Ability to work hybrid (3 days per week) in Dearborn, Michigan is a plus but not required.
  • Employment will be through an Employer of Record (W-2) for the duration of the engagement.

Compensation & Schedule

  • Hourly rate: $100 - $125
  • Schedule: Full-time
  • Duration: Ongoing engagement
  • Location: Remote with preference for hybrid in Dearborn, Michigan
