Overview
A healthcare technology organization is seeking a Senior Associate General Counsel to support legal and regulatory matters across specified lines of business. This role involves working closely with the Chief Legal Officer and outside counsel on mergers and acquisitions, employment and labor issues, and litigation management. The position also includes providing legal counsel on commercial contract negotiation, vendor management, technology licensing, and compliance with electronic commerce, data privacy, security, and healthcare regulations.
Responsibilities
- Support overall legal functions as directed by the Chief Legal Officer
- Respond to legal inquiries from customers, clients, vendors, and subcontractors related to specified contracts and projects
- Coordinate with the Senior Privacy and Compliance Officer on compliance and privacy matters
- Assist in investigating and evaluating potential privacy and security breaches
- Serve on the organization’s information security team for specified lines of business
- Provide legal advice to business owners and operational teams as directed
- Support legal aspects of requests for proposals for specified business lines
- Participate in obtaining and maintaining industry and governmental certifications such as HITRUST, ONC, and DirectTrust
- Review, negotiate, and draft commercial contracts related to specified lines of business
- Support mergers and acquisitions and corporate finance projects
- Assess and manage threatened and pending litigation for specified lines of business
- Provide strategic legal guidance to the Chief Legal Officer
Requirements
- Bachelor’s degree and Juris Doctor (JD) degree
- Admission to and good standing with an applicable state bar
- Minimum of 10 years of experience in technology transactions, corporate law, and healthcare law, particularly in compliance and contracting
- Experience negotiating and drafting contracts for technology and services businesses
- Knowledge of managed care, Medicare/Medicaid, federal healthcare programs, and related regulations
- Expertise in HIPAA, HITECH, and healthcare privacy and security laws
- Experience with mergers and acquisitions processes and projects
- Working knowledge of trust frameworks, data interoperability, and clinical data exchange
- Interest in vendor contracting and management processes
Preferred Qualifications
- Experience supporting compliance oversight and quality improvement in healthcare
- Familiarity with industry standards, certifications, and accreditations relevant to healthcare technology
