Overview
A healthcare-focused organization is seeking a Senior Commercial Attorney with at least seven years of experience in reviewing, drafting, and negotiating commercial contracts, particularly within the healthcare and technology sectors. This role involves providing senior-level legal support on complex contract matters and regulatory compliance, with a focus on healthcare laws and data privacy.
Responsibilities
- Review, draft, and negotiate complex commercial agreements including master services agreements, statements of work, SaaS and IT service provider contracts, vendor agreements, NDAs, business associate agreements, and regulatory/compliance addendums.
- Manage end-to-end contract negotiations independently, ensuring timely completion of transactions, including high-stakes or complex matters.
- Advise internal stakeholders and senior leadership on contract terms, legal risks, regulatory exposure, and negotiation strategies, translating complex legal concepts into clear guidance.
- Provide substantive guidance on healthcare regulatory matters such as federal and state fraud, waste, and abuse laws (e.g., Anti-Kickback Statute, False Claims Act), the Stark Law, pharmacy laws, and data privacy/security requirements (e.g., HIPAA).
- Collaborate with cross-functional teams including sales, finance, accounting, operations, IT, and human resources to align contractual and regulatory commitments with business objectives.
- Develop and maintain contract templates, playbooks, fallback positions, and compliance guidance to ensure consistency and efficiency.
- Support and mentor junior legal staff on contract drafting, negotiation strategies, contract lifecycle management, and regulatory issues.
Requirements
- Juris Doctor (JD) degree from an accredited law school and admission to the Bar in a U.S. jurisdiction.
- Minimum of seven years of experience in commercial contract review, drafting, and negotiation, either in-house or at a law firm.
- Substantive healthcare industry experience, including pharmacy, with knowledge of fraud, waste, and abuse laws (Anti-Kickback Statute, False Claims Act), the Stark Law, HIPAA, and other data privacy/security regulations.
- Experience in the technology industry and familiarity with technology contracting (SaaS, data licensing, information security) is strongly preferred.
- Experience negotiating agreements with pharmaceutical manufacturers, health insurers, and healthcare providers is strongly preferred.
- Proven ability to independently manage and complete complex commercial negotiations.
- Knowledge of pharmacy regulations related to specialty pharmacy, hub services, or patient support programs is a plus.
- Excellent analytical, drafting, and communication skills with the ability to explain complex legal and regulatory concepts to non-legal stakeholders.
- Self-motivated with strong organizational skills to manage multiple concurrent matters and meet deadlines with minimal supervision.
- Customer service-oriented with a practical, business-friendly approach to legal problem-solving.
- Collaborative team player capable of working effectively across various corporate functions.
- Ability to provide strategic legal counsel and serve as a trusted advisor to business leadership.
- High attention to detail and accuracy in contract drafting and regulatory analysis.
- Proficiency with contract management systems, AI tools, and standard business productivity software.
