Remote · US Contract
Est. $110K – $155K/yr

Overview

This role owns the contracting process end to end, partnering closely with commercial, operations, and legal stakeholders. You will draft, negotiate, and close a wide range of customer and supplier agreements, with particular focus on data rights (ownership, licensing scope, and secondary-use restrictions) for EEG and sleep data. Working knowledge of HIPAA and GDPR is important, especially as privacy issues arise in life sciences and health data contracting.

The position supports a remote-first work model with in-person office hubs in Boston and New York.

Responsibilities

  • Own the full contract lifecycle for customer and vendor agreements, including drafting, negotiation, redlining, execution, and integration with company systems.
  • Lead negotiations for customer agreements such as pharma/biopharma collaboration agreements, clinical trial services agreements, home sleep testing partnerships, and data licensing and real-world data/real-world evidence (RWD/RWE) agreements.
  • Negotiate SaaS and platform subscription agreements, licensing agreements, device supply agreements, and partnerships with health systems and academic medical centers.
  • Support commercialization of FDA-cleared devices by ensuring supply, distribution, and reseller agreements include appropriate regulatory cooperation and quality provisions.
  • Negotiate and manage supplier and vendor contracts, including HIPAA business associate agreements for vendors handling protected health information.
  • Serve as a subject-matter resource on data rights for EEG, sleep, and other clinical data, including ownership, licensing scope, and secondary-use/restriction provisions.
  • Use working knowledge of privacy rules to flag contract issues and escalate matters to the General Counsel.
  • Create, maintain, and improve contract templates, playbooks, and negotiation positions as business and regulatory needs evolve.
  • Manage the contract repository and tracking process, including renewal dates, milestone deadlines, and expirations.
  • Partner cross-functionally to keep deals moving.
  • Provide clear, plain-English guidance to non-lawyers on contract terms and risk.

Requirements

  • 5–8+ years negotiating commercial agreements in-house, at a law firm, or in a paralegal/contracts role supporting a life sciences, health tech, or SaaS company.
  • Demonstrated ability to independently negotiate customer-facing commercial agreements (SaaS, services, or life sciences collaboration agreements) from first draft through signature.
  • Solid understanding of data rights: data ownership, license scope, use restrictions, and how these terms drive commercial value.
  • Working familiarity with HIPAA and GDPR issues as they arise in commercial contracts (not required to be a privacy specialist, but able to recognize issues and escalate appropriately).
  • Strong contract drafting skills and a clear, plain-English negotiation style.
  • Ability to work independently and report directly to the General Counsel in a lean legal function.
  • Based in the continental United States.

Preferred Qualifications

  • Paralegal certification or contracts management credential.
  • Experience in life sciences, pharma/biopharma, medical devices, or digital health.
  • Experience negotiating clinical trial agreements or CRO-style service agreements.
  • Familiarity with contract lifecycle management (CLM) tools, such as Ironclad.
  • Experience with real-world data (RWD) or real-world evidence (RWE) licensing structures.
  • Exposure to FDA medical device regulatory considerations (e.g., 510(k) clearance) as they intersect with commercial agreements.

Compensation & Benefits

  • The base salary range for this role is determined based on past experience, specific skills and qualifications.
  • Base salary is one component of total compensation, which includes equity, PTO, and other benefits.

Location

  • Remote work with in-person office hubs in Boston and New York.
