Overview

A global cybersecurity technology organization is seeking a highly experienced, hands-on attorney specializing in SaaS and software transactions to join their legal team. This role serves as the primary legal business partner to strategic and enterprise account sales teams, engaging frequently with senior executives. The environment is fast-paced and high-volume, requiring a nimble, collaborative, and results-oriented approach. The attorney will manage internal and external expectations, customer negotiations, and provide legal advice grounded in a strong understanding of the business and operations.

This position reports to the Vice President & Associate General Counsel, Commercial.

Responsibilities

  • Lead global customer negotiations, drafting, and deal management for large, complex commercial software, support services, and professional services transactions with enterprise customers across various verticals
  • Partner with sales leadership to align business requirements, manage deal pipeline, and ensure timely delivery
  • Maintain a thorough understanding of the business strategy, products, and operations to provide effective legal counsel that supports strategic objectives while managing compliance and risk
  • Support other commercial transactions and M&A integration activities
  • Collaborate with cross-functional teams to address financial and operational considerations
  • Work closely with cybersecurity, regulatory, privacy, and compliance teams to manage and advise on assigned transactions
  • Identify and report on key segment trends to influence commercial and operational strategies
  • Promote awareness of legal compliance and risk management guidelines
  • Contribute to continuous improvement and process automation initiatives, including legal enablement, training, and guidelines
  • Perform other duties to support internal stakeholders and improve processes aligned with strategic goals

Requirements

  • Juris Doctor (JD) from an accredited law school
  • Admission and good standing with at least one U.S. state bar
  • 15+ years of legal experience in business and transactional law within the technology industry
  • Minimum 10 years of direct experience managing and negotiating large, complex software, SaaS, and related technology sales transactions with global enterprise customers
  • Prior in-house legal experience required; experience at national or regional law firms is a plus
  • Extensive expertise in SaaS and software transaction negotiations and providing sound legal counsel
  • Knowledge of various technology sector commercial models, including software licensing, SaaS, terms of use, enterprise terms, evaluation and trials, professional services, strategic ventures, and distributor/partner agreements
  • Solid understanding of global legal considerations applicable to B2B software licensing and SaaS, including international commercial laws, cross-border transactions, intellectual property rights, data privacy and security, and commercial rights and remedies
  • Strong strategic thinking, analytical skills, and attention to detail
  • Ability to work independently, evaluate risks, and make sound judgments under uncertainty
  • Ability to prioritize and adapt quickly with a sense of urgency and agility
