Overview

A leading company in family history and consumer genomics is seeking a Senior Commercial Counsel to lead contract negotiations and develop innovative legal strategies focused on protecting genetic and personal data. This role emphasizes the use of artificial intelligence (AI) in legal work and involves partnering with business teams to navigate complex technology and privacy challenges.

Responsibilities

  • Serve as the primary legal advisor for procurement, leading negotiations for vendor and supplier contracts supporting technology, laboratory, and data operations.
  • Draft, review, and negotiate a variety of commercial agreements including SaaS, technology licenses, master services, marketing, and professional services contracts.
  • Collaborate with the privacy team to draft and negotiate Data Processing Agreements and security addenda, ensuring compliance with privacy laws and company standards.
  • Provide clear legal guidance on contract interpretation, risk mitigation, and compliance to business stakeholders.
  • Partner with cross-functional teams to align contractual terms with company policies and objectives.
  • Develop AI-enabled legal playbooks, contract templates, and internal policies to improve efficiency and scalability.
  • Monitor legal and regulatory developments impacting commercial and corporate activities, with a focus on privacy and data security.
  • Support senior legal leadership on strategic transactions, corporate governance, and corporate development initiatives.
  • Utilize AI tools daily for contract review, drafting, legal research, and analysis, promoting AI-first workflows within the legal team.
  • Act as a legal AI champion by helping select, build, test, and refine AI tools and workflows.

Requirements

  • J.D. from an ABA-accredited law school with strong academic performance.
  • Active membership in good standing of at least one U.S. state bar.
  • Minimum 5 years of relevant experience focusing on technology transactions and complex commercial agreements.
  • In-house experience at a technology or data-driven company is required; experience at a top-tier law firm is strongly preferred.
  • Proven ability to independently negotiate complex procurement, vendor, supplier, and technology agreements on a global scale.
  • Deep knowledge of data privacy regulations such as GDPR and CCPA/CPRA, with hands-on experience negotiating Data Processing Agreements.
  • CIPP/US certification highly preferred; CIPP/E or other international certifications are a plus.
  • Demonstrated, hands-on proficiency using AI in daily legal work, including drafting, review, research, and analysis.
  • Experience negotiating agreements involving AI and machine learning.
  • Builder's mindset for legal AI, including experience designing prompts, workflows, automations, or helping implement AI or contract lifecycle management (CLM) tools.
  • Exceptional drafting and negotiation skills, strong business judgment, and excellent communication abilities.
  • Collaborative, organized, highly responsive, and able to manage multiple priorities in a fast-paced environment.
  • High self-awareness, low ego, and a team-oriented approach with a sense of humor and respect for colleagues.

Preferred Qualifications

  • Experience with AI-enabled legal tooling development.
  • Track record of building or improving AI workflows within legal teams.

Compensation & Benefits

  • Base salary range: $146,590 to $174,000, depending on location and experience.
  • Eligibility for bonus, equity, and comprehensive benefits including health, dental, and vision coverage.

Location & Work Arrangement

  • Flexible work approach allowing employees to work from the nearest office, home, or a hybrid model, subject to location restrictions and role requirements.
