Overview

A technology company is seeking a full-time Senior Commercial Counsel to join their Legal team. This role involves supporting global Sales and Procurement teams with enterprise software licensing, SaaS agreements, and strategic commercial partnerships. The Senior Commercial Counsel will lead commercial and legal discussions with internal stakeholders, customers, and suppliers to ensure optimal deal structuring and risk management across commercial agreements. The position reports directly to the Deputy General Counsel, Commercial & International.

Responsibilities

  • Lead contract negotiations for various contractual matters including SaaS purchases, hardware purchases, real estate leases, insurance, contractors, and supplier requests such as Data Processing Agreements (DPAs).
  • Review, advise, and negotiate a variety of sales agreements including enterprise commercial licenses (SaaS and On-Prem), data processing agreements (GDPR, CCPA), professional services, channel partner agreements, non-disclosure agreements, and strategic commercial partnerships.
  • Collaborate cross-functionally with procurement, sales, deal desk, finance, and security teams to accelerate transaction closure and optimize deal terms.
  • Lead process optimization and policy improvements for contracts using AI and other automation tools to increase efficiency and reduce cycle times.
  • Identify and resolve legal and regulatory issues related to commercial contracts.
  • Maintain and improve contract templates and commercial contracting playbooks in collaboration with other legal team members.
  • Draft and negotiate amendments for existing agreements as needed.
  • Support inbound software and SaaS agreements by drafting, negotiating, and executing supply chain/procurement related contracts and amendments.

Requirements

  • Juris Doctor (JD) from an ABA-accredited university.
  • Admission to the State Bar where located.
  • Minimum of 6 years of progressive experience specifically working on software licensing and SaaS agreements, either in law firm or in-house settings.
  • Demonstrated experience with AI-based tools for enhanced redlining and legal research.
  • Proven ability to work independently on moderate to highly complex problems and contribute effectively to cross-functional teams.
  • Deep knowledge in legal discipline with basic understanding of related disciplines; may lead projects or act as a resource for colleagues.
  • Excellent organizational skills with the ability to manage high-volume deal flow and meet deadlines.
  • Strong judgment, common sense, and a collaborative spirit.

Preferred Qualifications

  • Prior in-house legal experience, especially at a high-growth technology company.
  • Undergraduate degree in business or technology.
  • Experience with international commercial agreements and data localization requirements.

Compensation & Benefits

  • Estimated gross base annual salary range: $155,000 – $190,000 (varies by location including New York, California, Washington, Colorado, and Rhode Island).
