Overview
This role is for a Senior Corporate & Commercial Transactions Business Attorney with over 5 years of relevant experience. The position is fully remote and involves working with high-growth startups and modern businesses.
Responsibilities
- Serve as outside general counsel for a portfolio of clients, managing day-to-day commercial, corporate, and general business legal matters.
- Draft, review, and negotiate a variety of commercial agreements including customer and vendor contracts, master service agreements (MSAs), statements of work (SOWs), non-disclosure agreements (NDAs), SaaS and technology licensing agreements, services, consulting, and independent contractor agreements.
- Prepare, update, and negotiate online and product-related terms such as website and product terms of service, privacy policies, data processing addenda, and privacy or security contract provisions.
- Advise on startup and small business structuring for corporations and LLCs, including formations, founder and member equity splits, intellectual property assignments, holding companies, and capitalization table planning.
- Provide guidance on corporate governance and equity matters including restricted stock, option and incentive plans, unit or stock issuances, 83(b) elections, and investor onboarding.
- Manage equity and ownership matters for corporations and LLCs, including new issuances, transfers, buybacks, and redemptions.
- Act as outside general counsel on board governance, employment-related questions, commercial contracts, and risk management, balancing legal risk with business strategy.
- Adapt to new verticals and areas of law as client needs evolve.
- Assist in refining templates, playbooks, and workflows to improve efficiency and consistency across the practice.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Minimum of 5 years of corporate or commercial legal experience, with significant focus on commercial agreements and general corporate work for private companies such as startups, growth-stage, or closely held businesses.
- Experience gained at a Big Law firm, elite boutique, or high-quality in-house or outside general counsel environment, with exposure to emerging companies, commercial contracts, and capital or equity transactions.
- Active attorney license in good standing.
- Strong skills in drafting and negotiating commercial contracts and advising business clients on contract risk and negotiation strategy.
- Solid understanding of corporate and equity matters for corporations and LLCs, including formations, governance, capitalization tables, and ownership.
- Ability to independently manage matters and client relationships.
- Comfortable working in fast-paced early-stage and growth business environments and communicating effectively with founders and operators.
- Willingness to advise across a broad range of legal matters and learn new areas as needed.

Preferred Qualifications
- Experience with venture capital, mergers and acquisitions (M&A), secondary sales, or complex capital events.
- Knowledge of privacy, data, and product legal issues relevant to SaaS or technology companies.
- Familiarity with modern technology tools and interest in leveraging automation to improve work efficiency.
- Interest in productizing legal services or experimenting with technology and AI-enabled legal delivery.
