Overview

A healthcare-focused technology organization is seeking a Senior Corporate Counsel to join their legal team remotely within the United States. This role is suited for an attorney with experience in commercial transactions and technology law, who thrives in a dynamic, high-growth environment and enjoys collaborating closely with commercial teams to support strategic objectives while managing legal risks.

Responsibilities

  • Draft, review, and negotiate customer-facing commercial agreements, including SaaS subscription agreements, order forms, amendments, and reseller agreements.
  • Support sales, channel, procurement, and third-party risk management teams by managing deal flow, escalations, and approvals.
  • Collaborate with domestic and international business units across the organization to support legal and compliance initiatives.
  • Analyze complex legal and business issues, identify risks related to data privacy, information security, and regulatory compliance applicable to technology companies, and develop practical solutions.
  • Coordinate with security, privacy, and compliance teams to translate risk assessments into commercially reasonable contractual protections.
  • Identify and implement process improvements and efficiencies, including developing and refining templates and playbooks to enable the legal team to scale with the business.
  • Assist other legal team members with overflow work and additional duties as assigned.

Requirements

  • Juris Doctor (JD) degree from an ABA-accredited law school and admission to practice law in at least one U.S. state.
  • Minimum of 6 years of substantive commercial transactional experience, preferably combining law firm and in-house roles within SaaS or technology companies.
  • Experience drafting and negotiating software license agreements, partner and reseller agreements, vendor agreements, and intercompany agreements.
  • Thorough understanding of SaaS deal flow, commercial contracting practices, and relevant global regulations.
  • Strong business judgment with the ability to identify issues, assess risks, and recommend practical solutions.
  • Ability to operate effectively with minimal supervision, balancing competing priorities and aligning legal advice with business considerations.
  • Familiarity with privacy and data protection laws and standards, including GDPR, PIPEDA, HIPAA/HITECH, and CCPA/CPRA.
  • Understanding of ethical AI principles and intellectual property issues related to AI usage in commercial agreements.
  • Exceptional written, verbal, and interpersonal communication skills, with the ability to explain legal concepts to non-lawyers.
  • Proactive, ownership-oriented mindset with a strong sense of accountability.

Compensation & Benefits

  • Total compensation range: $202,425 to $225,000, inclusive of base salary and variable compensation such as bonuses and incentives.
  • Actual compensation may vary based on factors including location, skills, experience, and qualifications.
