Overview
A technology-focused organization is seeking a high-integrity, business-minded commercial attorney with experience in technology transactions to support sales and commercial contracting efforts. This role reports to the Head of Commercial Legal and collaborates closely with internal business stakeholders to provide legal advice supporting current and expanding products and services. The position is fully remote.
Responsibilities
- Draft, negotiate, structure, and review a wide range of customer-facing technology and commercial agreements, including SaaS subscription agreements, strategic partnerships, license agreements, NDAs, consulting agreements, service agreements, OEM and reseller agreements, data use agreements, master service agreements (MSAs), and statements of work (SOWs).
- Draft, review, and negotiate vendor agreements such as service agreements, development agreements, purchase agreements, subscription agreements, and consulting agreements.
- Manage significant transaction volume from inception to completion in a fast-paced environment.
- Develop and update agreement templates and form agreements.
- Identify, evaluate, and communicate legal and business risks and issues to internal stakeholders in a timely manner.
- Analyze and advise on complex issues related to technology development, content and data licensing, software integrations, and partnerships involving multiple services and product offerings.
- Prepare clear, concise, and actionable risk assessments and legal reviews tailored to executive leadership, business stakeholders, and legal audiences to facilitate informed decision-making.
- Assist with mergers and acquisitions and other corporate transactions.
- Participate in special projects and perform additional duties as required.
Requirements
- Juris Doctor (JD) degree from a top-tier law school.
- Licensed and in good standing to practice law in at least one U.S. state.
- Minimum of 5 years of experience at a top-tier or Am Law 100 law firm or in-house in a sophisticated commercial environment, with at least 3 years at a top-tier or Am Law 100 law firm preferred.
- Substantial experience counseling companies on technology services arrangements and core contractual terms, with the ability to assess their impact on business arrangements.
- Strong drafting and negotiation skills for complex commercial agreements with minimal supervision.
- Ability to balance risks and opportunities, analyze and resolve challenging legal issues creatively, and communicate practical advice clearly in a fast-paced business setting.
- Proactive with deadlines and able to prioritize conflicting demands.
- Team player with professionalism, poise, sound judgment, and the ability to manage multiple projects simultaneously with a positive attitude.
- Experience with product counseling, intellectual property, and/or privacy and regulatory issues is highly desirable.
