Overview

A global technology organization is seeking a Senior Corporate Counsel to join its Global Deal Team in the Americas. This high-performing, distributed legal team supports complex enterprise transactions with the organization's largest and most strategic customers (excluding public sector) worldwide. The role focuses on driving revenue and accelerating deal velocity through strategic legal leadership, direct engagement in high-impact negotiations, operational excellence, and innovative use of technology and AI. It requires navigating regulatory, cultural, and contracting diversity across multiple jurisdictions and languages.

The primary responsibility is to support business teams pursuing and closing strategic and complex commercial transactions with key customers. The role partners with sales, operations, finance, product and engineering, marketing, and security/trust stakeholders to align customer expectations with the organization's risk posture, policies, and compliance obligations. Collaboration with regional Legal Affairs teams in the Americas, who are subject matter experts in local regulations and lead public sector matters and non-deal workstreams, is essential.

This position can be based in Redmond, Silicon Valley, Chicago, New York City, or Washington, D.C., and involves some international travel.

Responsibilities

  • Lead legal support for complex technology transactions by developing negotiation strategies, solving problems creatively, and coordinating across legal and business teams.
  • Provide strategic advice on emerging information technology business models, including AI, while staying current on relevant rules, regulations, and statutory requirements.
  • Draft, negotiate, and structure integrated agreements covering sales, procurement, strategic partnerships, investments, and other innovative business models, addressing issues such as commercial contracts, intellectual property, and data protection.
  • Manage escalations to senior leaders to enable informed risk-taking that meets customer needs.
  • Support business teams in ensuring legal compliance and risk mitigation.
  • Lead cross-team, cross-disciplinary strategic projects and initiatives to improve internal legal processes.
  • Communicate clearly to advance negotiations and projects toward closure, providing practical and strategic advice to business clients and legal colleagues.
  • Collaborate with executive leadership to ensure a coordinated approach on high-visibility issues, simplifying complex matters into actionable strategies and recommendations.

Qualifications

Required

  • Juris Doctor degree or international equivalent.
  • Minimum of 6 years of experience as a practicing attorney in law firm or in-house roles specializing in complex transactions, including technology transactions, M&A, business development, or related areas involving multiple stakeholders.
  • Active license to practice law in a jurisdiction and ability to meet admission requirements in relevant jurisdictions.

Preferred

  • Highly developed negotiation, legal drafting, and communication skills.
  • Proven experience managing large-scale, nuanced transactions involving multiple strategic, operational, and legal dimensions under tight deadlines.
  • Experience advising on technology transactions such as cloud services, software licensing, SaaS, professional services, strategic partnerships, and AI models and solutions.
  • Ability to operate effectively in a fast-paced, matrixed environment with sound judgment, balancing legal analysis, business goals, risk tolerance, and stakeholder priorities.
  • Strong team player who enjoys collaborating with cross-functional teams to solve complex issues and build consensus.
  • Inquisitive and curious mindset, comfortable with change and learning new concepts.
  • Additional language skills are a plus.

Compensation & Benefits

  • Typical base pay range across the U.S.: $147,000 - $258,000 per year.
  • Base pay range in the San Francisco Bay Area and New York City metropolitan area: $185,900 - $278,900 per year.
  • Certain roles may be eligible for additional benefits and compensation.

Location

This role is open to candidates based in Redmond, Silicon Valley, Chicago, New York City, or Washington, D.C., with some international travel required.
