Overview
A technology platform specializing in influencer marketing is seeking a Senior Corporate Counsel to serve as the senior day-to-day legal advisor and lead its commercial contracting function. This role involves managing sophisticated commercial transactions, assessing legal and business risks, and providing clear, commercially grounded recommendations to senior leadership including the COO/CFO.
Responsibilities
- Draft, review, negotiate, and close complex client, agency, vendor, and strategic partner agreements including MSAs, SOWs, order forms, SaaS and usage-based services agreements, NDAs, amendments, data-processing agreements, and consulting agreements.
- Manage legal terms post-commercial agreement and efficiently move contracts from review to execution.
- Negotiate directly with client legal, procurement, privacy, security, finance, and business teams.
- Evaluate legal and commercial risks in the context of the business model, contract value, customer relationships, and strategic importance.
- Advise on liability caps, indemnification, warranties, intellectual property, content and data rights, confidentiality, privacy, security, insurance, payment terms, termination rights, dispute provisions, and regulatory obligations.
- Collaborate with Sales and Finance to structure, negotiate, and close enterprise and strategic transactions.
- Develop and maintain a legal decision and approval framework including a legal decision matrix, approval thresholds, escalation procedures, and training for business stakeholders.
- Review and negotiate vendor and consulting agreements balancing operational needs and legal risk.
- Oversee creator and brand contracting frameworks, ensuring appropriate terms, version control, and compliance.
- Provide guidance on privacy, data use, security, AI, payments, contracting authority, and operational legal matters.
- Build scalable legal operations including contract templates, clause libraries, negotiation playbooks, contract repository management, and legal operations metrics.
- Manage outside counsel for specialized or high-risk matters, including coordinating scopes, budgets, and deliverables.
- Develop trusted relationships across Sales, Finance, Product, Security, Customer Success, Operations, and executive leadership.
- Perform other duties and strategic projects as assigned.
Requirements
- 7–10 years of post-J.D. transactional legal experience at a leading law firm, established corporation, or high-growth technology company.
- Proven ability to independently lead sophisticated commercial transactions from review through negotiation and execution.
- Strong experience negotiating B2B SaaS, technology, usage-based services, agency, data, consulting, vendor, MSA, SOW, NDA, and customized enterprise agreements.
- Experience working directly with senior executives and cross-functional teams including Sales, Finance, Product, and Security.
- Ability to manage significant monthly contract volume with speed, accuracy, and sound judgment.
- Experience negotiating with sophisticated enterprise counterparties including legal, procurement, privacy, security, finance, and external counsel.
- Strong understanding of intellectual property, content and data rights, confidentiality, indemnification, limitation of liability, warranties, security, insurance, payment, termination, and dispute provisions.
- Working knowledge of U.S. privacy and data-protection laws including CCPA/CPRA; familiarity with GDPR and data-processing agreements.
- Ability to translate legal issues into concise business guidance with clear risk assessment and recommended actions.
- Strong organizational and project management skills in a fast-paced remote environment.
- Practical, service-oriented approach with confidence to make decisions and escalate appropriately.
- Interest in building a legal function and assuming broader responsibility as the organization grows.
- Juris Doctor from an accredited law school.
- Active membership in good standing with at least one U.S. state bar.
Preferred Qualifications
- Prior in-house experience or secondment in SaaS, marketing technology, advertising technology, digital media, creator economy, or enterprise technology sectors.
- Experience with agreements combining SaaS access, prepaid credits, usage-based services, creator incentives, processing fees, subscription elements, or other nontraditional pricing models.
- Experience building contract playbooks, approval matrices, delegations of authority, and scalable legal intake and escalation processes.
- Experience maintaining website terms, privacy notices, consent language, and privacy compliance processes.
- Familiarity with contract lifecycle management tools, e-signature platforms, structured intake workflows, contract repositories, and legal operations reporting.
- Experience coordinating and managing outside counsel.

- Salary range: $200,000–$240,000, influenced by education, experience, skills, certifications, market demand, and internal equity.
