Overview
An established provider of cloud contact center software is seeking an experienced commercial attorney to join their in-house Transactions Legal Team within the Legal and Compliance organization. This role supports the company’s revenue growth by drafting, reviewing, and negotiating complex commercial agreements related to cloud platforms, AI-enabled services, data processing, and security offerings. The position involves close collaboration with Sales and cross-functional teams to facilitate complex commercial transactions and advance legal initiatives aligned with business objectives.
Responsibilities
- Draft, review, and negotiate a wide range of commercial agreements, including master services, data processing, partner and reseller, business associate, vendor, end user license, confidentiality, and service level agreements
- Lead complex legal transactions with customers and partners across various industries such as retail, insurance, finance, and healthcare
- Advise internal stakeholders on liability, AI and data use, data privacy, cybersecurity, and regulatory compliance issues within commercial contracts
- Collaborate closely with Sales, Operations, Product, Compliance, Procurement, and Finance teams to close customer and partner transactions
- Identify legal risks and provide pragmatic solutions balancing business objectives and legal risk in a fast-paced, high-growth environment
- Assist in developing and improving contract templates, negotiation playbooks, FAQs, and scalable legal processes to enhance efficiency and accelerate deal velocity
Requirements
- Juris Doctor (JD) from an accredited law school
- Active membership in good standing with at least one U.S. state bar
- 7 to 12 years of combined law firm and in-house legal experience
- Minimum 4 years of in-house experience drafting and negotiating complex agreements in a high-pressure technology sales environment
- Significant experience negotiating SaaS, cloud, and other technology agreements
- Experience addressing telecommunications, data privacy, AI, cybersecurity, and regulatory compliance issues
- Ability to manage multiple projects and negotiations simultaneously in a demanding environment
- Strong commercial judgment with the ability to balance legal risk and business objectives
Preferred Qualifications
- Experience supporting product teams with AI-enabled and data-driven technology products
- Familiarity with data privacy and regulatory frameworks relevant to enterprise SaaS platforms, including HIPAA, GDPR, SOC 2, and U.S. privacy laws such as CCPA/CPRA
- Knowledge of standard business processes for cloud companies, including go-to-market strategy, customer experience management, and finance processes
- Proficiency in improving contract lifecycle management and legal operations within high-growth technology companies

Compensation and Benefits
- Base salary range: $95,600 to $265,900 USD annually

Location
- San Francisco Bay Area or Washington, D.C.
- Hybrid or remote work options considered for the right candidate
- For candidates within 50 miles of the San Ramon office, hybrid work requires 3 days per week onsite (Monday, Wednesday, Thursday)
- Fully remote option available for candidates residing outside the 50-mile radius
