Overview
A leading organization in the healthcare sector is seeking a Senior Corporate Counsel to join their team. This role involves driving significant impact across key initiatives and collaborating cross-functionally to achieve measurable outcomes. The position offers the opportunity to influence both strategic direction and execution within a high-growth environment.
Location: Remote (U.S. based candidates only; no visa sponsorship available)
Compensation: $211,600 – $264,553 annually
Responsibilities
- Draft, review, and revise SEC filings and corporate governance disclosures
- Plan annual meeting logistics, including proxy statements and shareholder communications
- Monitor and advise on developments in securities laws and corporate governance best practices
- Ensure compliance with securities laws, insider trading policies, and handling of material non-public information
- Review investor materials for compliance with Regulation FD and public disclosure requirements
- Support corporate governance functions, including board processes and governance policies
- Provide legal expertise on stock-based compensation and equity plan administration
Qualifications
- J.D. degree from an accredited law school and membership in a U.S. state bar
- 5-7+ years of legal experience focusing on securities law, SEC reporting, and public company governance
- In-depth knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, SEC rules, and Nasdaq listing standards
- Strong communication skills to effectively convey legal concepts to non-legal audiences
- Excellent drafting and organizational skills with high attention to detail
- Ability to manage and prioritize multiple projects in a collaborative environment
- Strong interpersonal skills to collaborate cross-functionally and advise senior leadership
Preferred Skills and Experience
- Experience with SEC filings, Regulation FD, and Nasdaq listing standards
- Background in similar in-house legal roles, particularly representing newly public companies
- Knowledge of healthcare industry and digital care delivery
- Familiarity with corporate governance best practices, insider trading policies, and material non-public information handling
- Experience managing public company reporting, shareholder communications, and M&A compliance
- Training in corporate policy practices and equity plan administration
