Overview
A technology company is seeking a Senior Counsel, Commercial & Privacy to join their Legal Team on a full-time, temporary basis for 6 months. This role will support contract negotiation, contract management, and data privacy initiatives, as well as provide legal counsel on various governance matters. The position reports to the Head of Commercial and focuses on supporting commercial legal requirements in the US.
Responsibilities
- Serve as a legal point of contact for customer and vendor contract needs
- Structure, draft, and negotiate complex technology agreements including master services agreements, SaaS subscription agreements, software license agreements, non-disclosure agreements, consulting agreements, and vendor/service provider agreements
- Coordinate involvement of cross-functional business and technology teams in contract processes
- Advise on contract status, legal risks, and liabilities associated with deals
- Review, revise, and negotiate various commercial and vendor agreements
- Contribute to the development and revision of standard form agreements
- Participate in contract administration policies and practices including intake, negotiation, processing, signing, filing, and tracking
- Support and contribute to the company’s privacy and compliance initiatives
- Provide legal advice to executives and internal stakeholders across sales, marketing, engineering, facilities, finance, and people teams
- Research and anticipate unique legal issues impacting the organization
- Provide training on legal topics to company personnel
- Manage and collaborate with outside counsel on legal matters
Requirements
- Juris Doctor (J.D.) degree with excellent academic credentials
- Member in good standing of a state bar association
- 5-8 years of commercial transactional legal experience, preferably with emerging growth technology companies
- Experience structuring, drafting, and negotiating complex software licensing and commercial agreements, including channel partner, distribution, reseller, procurement, facilities, real estate lease, marketing, and sponsorship agreements
- Excellent drafting and strong negotiation skills covering legal and financial/commercial issues
- Self-starter with flexibility to balance legal risks and business concerns efficiently
- Strong business judgment and strategic thinking ability
- Excellent interpersonal skills and sense of humor
- Strong verbal and written communication skills
- High integrity, organizational skills, and ability to manage multiple projects simultaneously
- Ability to collaborate and execute in a fast-paced environment
- Detail-oriented and capable of working independently or collaboratively
- Effective organization and prioritization skills in deadline-driven settings
- Leadership qualities and team player comfortable working with a globally distributed team
- Working knowledge of global privacy regulations such as CCPA and GDPR, cybersecurity, data protection, data retention, data security, and data breach best practices is a plus
Compensation & Benefits
- Hourly pay range: $87.50 - $92.50, plus bonus
- Full-time salaried position eligible for W-2 with benefits

Additional Information
- This is a 6-month temporary role covering parental leave, expected to start within the first two weeks of June and end towards the end of 2026.
