Overview

This role involves serving as corporate counsel for the Commercial team, supporting health plan partner and related contract work. The attorney will help drive performance by building, optimizing, and transforming market growth through contracting. This position reports into the General Counsel.

Responsibilities

  • Support Commercial teams in strategic, risk-based alliances and business development activities across all markets.
  • Proactively identify issues within assigned work and adjacent functions, and drive solutions.
  • Manage large-scale deliverables with little or no oversight.

For Growth

  • Lead drafting, editing, and negotiating revenue-generating and related agreements with payor partners, including (but not limited to) LOIs, Definitive Agreements, and BAAs.
  • Assist Commercial teams in advancing short-term and long-term best practices for value-based and fee-for-service contracting, including governing terms, reimbursement rates and structures, reporting, and contract template structure.
  • Support navigation of structural and regulatory considerations, including:
    • Multi-state organizational licensure (such as IPAs and ACOs)
    • Multi-state utilization review licensure and certification needs
    • Compliance implications of increased clinical and financial integration models
    • Privacy, security, and data sharing/reporting
    • Applicability of the Stark Law and the Anti-Kickback Statute, civil monetary penalty laws, and corporate practice of medicine doctrines
  • Serve as a collaborative thought partner by translating complex legal topics into practical explanations that inform strategic and operational decisions.
  • Represent the organization externally during negotiations with health plan partners.
  • Use learnings from past negotiations to continually improve contracts and negotiating strategy.

For Partnerships

  • Collaborate with the Commercial team to advise on strategic partnership issues and answer legal questions that arise during ongoing relationships.
  • Design contract extractions so partnership and business teams can operationalize contractual terms.

For Network

  • Partner with the Network team to draft and negotiate contracts that support the Network strategy.
  • Design contract extractions for network and business teams to enable consistent operational use.
  • Continually hone processes to maximize efficiency, capture learnings to speed up deal cycles, and support appropriate oversight of network partnerships.
  • Build strong working relationships across the organization to encourage proactive use of in-house legal counsel.

Requirements

  • JD degree
  • 7+ years of corporate work experience
  • Transactional healthcare background with an in-house legal department for a healthcare company or a law firm in a healthcare practice area
  • Excellent multitasking and prioritization skills, with demonstrated ability to manage multiple contract negotiations and provider agreements in parallel
  • Prior experience in an externally facing capacity
  • Demonstrated ability to work with radical candor in an often ambiguous, high-growth environment
  • Exceptional management, mentorship, and communication skills conducive to identifying and resolving issues
  • Mission driven to serve an organization dedicated to bringing novel care delivery models to underserved populations

Compensation & Benefits

  • Expected salary range: $153,000.00 - $210,000.00 Annual
  • Eligible benefits include health insurance, life insurance, retirement benefits, participation in the organization’s equity program, and paid time off (including vacation and sick leave).
  • Final offer will be determined at the organization’s sole discretion based on business considerations, including qualifications, years of experience, skillset, and geographic location.
