Overview
This role involves serving as a legal advisor specializing in complex commercial legal issues, particularly customer-facing transactions across North America. The position requires a qualified attorney with strong transactional and business experience, preferably with in-house legal experience in the technology sector, including software and multiplatform environments (on-premises, native SaaS, and hybrid solutions). Candidates should be proficient and enthusiastic users of AI tools in their legal work and thrive as independent self-starters in a fast-paced, business-oriented environment.
Responsibilities
Strategic Legal Support
- Advise sales executives, senior leaders, and cross-functional teams on legal risk, compliance, and business strategy aligned with established company standards and approved playbooks.
- Provide legal support for complex sales transactions across multiple product lines and platforms (primarily native SaaS and hybrid solutions, some on-premises), including direct and indirect formats.
- Clearly communicate complex legal concepts and risks internally and externally.
- Anticipate potential conflicts or objections and collaborate with peers or senior staff to resolve them.
- Identify opportunities for training and enablement of sales and internal business partners to enhance efficiency and speed in customer transactions; potentially lead the design and delivery of training programs and enablement tools.
Contracting & Risk Management
- Draft, review, and negotiate a wide range of commercial agreements such as SaaS, licensing, professional services, NDAs, Data Processing Agreements, and Business Associate Agreements.
- Use advanced contract negotiation skills and industry knowledge to identify strategic improvements in contract templates.
- Lead benchmarking initiatives and analyze customer interactions to propose updates to playbooks and processes that streamline negotiations and improve business outcomes.
- Collaborate with business stakeholders to facilitate deal velocity while managing legal and commercial risk according to company standards and strategy.
- Resolve escalated legal issues with minimal supervision, consulting management on high-risk matters.
- Manage outside counsel engaged for negotiations as needed.
Cross-Functional Collaboration
- Act as a subject matter expert for assigned areas, providing strategic analysis and anticipating legal risks.
- Partner with stakeholders across departments such as Deal Desk, Revenue Operations, IT, and Product Engineering to ensure compliance and encourage deal velocity.
Process & Policy Improvement
- Lead cross-functional initiatives to improve legal workflows and compliance processes.
- Recommend best practices for internal policy development and governance frameworks.
Requirements
- Licensed attorney admitted to practice in one or more U.S. states, in good standing, with a license to practice law in the state of employment.
- Minimum of 7 years of experience as in-house counsel; law firm experience is helpful but not required.
- Extensive experience in the software licensing industry, including various licensing models, products, and services; familiarity with enterprise transactions, on-premises licensing, SaaS/cloud offerings, and AI.
- Working knowledge of data privacy, security requirements, and applicable laws and regulations.
- Understanding of best practice internal controls, procedures, risk surveillance, dispute management, and escalation.
- Knowledge of revenue recognition rules and ability to ensure agreements conform to current rules and company policies, with proper authorization for exceptions.
- Excellent oral, written, presentation, and interpersonal communication skills.
- Strong negotiation skills.
- Ability to communicate complex legal issues clearly and develop credibility at all organizational levels.
- Proven analytical, time management, and problem-solving abilities.

Compensation & Benefits
- Base salary range in the United States: $180,000–$200,000.
- Eligible for a target annual bonus of 20% of base salary, based on individual and company performance.
- Additional compensation includes a $150 monthly Connectivity Plus stipend for remote work expenses and a $200 annual home office reimbursement.
