Overview
A healthcare technology organization is seeking a Senior Counsel - Commercial to serve as a strategic legal advisor managing complex commercial negotiations. This role involves leading negotiations for agreements in the healthcare technology industry, including SaaS subscription agreements, business associate agreements, data processing agreements, NDAs, and vendor agreements. The position requires a working knowledge of applicable data privacy laws such as HIPAA and the ability to advise on their implications during negotiations.
Responsibilities
- Draft, review, and negotiate major and non-standard technology contracts with public and private sector customers, including complex licensing agreements, professional services agreements, and SaaS subscription agreements for cloud-based offerings.
- Drive standardization and continuous improvement of commercial contract terms, clause libraries, and playbooks while identifying and mitigating legal and commercial risks.
- Serve as an escalation point for complex deal issues and cross-functional challenges.
- Draft, review, and negotiate vendor agreements to support procurement functions, ensuring timely execution while adhering to financial, security, and legal guidelines.
- Apply knowledge of privacy laws, including HIPAA, to negotiate deals involving personal health information.
- Collaborate cross-functionally with departments to close deals while protecting business interests.
- Communicate deal status effectively to internal and external stakeholders and manage negotiation strategies flexibly based on business needs.
Required Qualifications
- Juris Doctor (JD) degree and active bar membership in at least one U.S. state.
- Minimum of 7 years of legal experience in a law firm and/or in-house legal department, with substantial experience drafting and negotiating complex SaaS, software licensing, and technology agreements.
- Solid understanding of corporate, commercial, and intellectual property law.
- Proven experience with technology-related subscription agreements for cloud-based software offerings.
- Understanding of IT security controls and frameworks.
- Exceptional analytical, research, organizational, and planning skills.
- Proven ability to influence and collaborate with cross-functional teams and build strong internal and external relationships.
- Outstanding communication and leadership skills with the ability to provide clear, actionable legal guidance to executives and operational teams.
Preferred Qualifications
- Experience with FDA regulations and/or software as a medical device (SaMD) or software in a medical device (SiMD).
- Demonstrated knowledge and practical experience with applicable data privacy laws, including HIPAA.
- Strong understanding of software, healthcare technology, and privacy regulations with the ability to quickly grasp medical imaging concepts.
Compensation & Benefits
- Base salary range: $150,000 to $180,000, varying by geographic market within the U.S. and dependent on knowledge, skills, and experience.
- Potential for bonus and other forms of compensation as part of a total compensation package.
