Overview
A healthcare technology company is seeking a Senior Counsel to join their legal team. This role involves providing healthcare transactional expertise to support revenue growth and new business opportunities. The position requires knowledge of pharmacy benefit management (PBM) compliance, healthcare IT, and relevant state and federal healthcare regulations. The Senior Counsel will develop and oversee compliance programs and collaborate with internal business groups and external regulators.
Responsibilities
- Review, negotiate, and draft technology and healthcare IT-related transactions, including master service agreements (MSAs), intellectual property licensing, teaming agreements, data rights, PBM, pharmaceutical, pharmacy, healthcare payor, and other industry-related contracts.
- Support legal and business teams in drafting and negotiating complex agreements to aid sales and business development.
- Monitor, track, interpret, and ensure compliance with state-specific PBM and pharmacy industry laws and regulations, including licensing, registration, reporting, and contracting requirements.
- Provide legal guidance on data privacy, security, data sharing, and other IT-related legal issues, particularly in pharmacy, pharmaceutical, and healthcare plan services.
- Partner with business leaders, IT, security, operations, and compliance officers to align legal strategies with business objectives.
- Collaborate with General Counsel and Associate General Counsel to update template agreements and improve legal processes.
- Review and negotiate vendor and general commercial agreements.
Qualifications & Skills
- Extensive experience drafting and negotiating commercial and technology contracts in healthcare IT, pharmaceutical, e-health, or insurance sectors.
- Deep understanding of healthcare IT, PBM, and electronic prescription laws and regulations.
- Knowledge of drug pricing transparency, rebate regulations, formulary design, retail pharmacy network access obligations, HIPAA, data privacy, security, and data sharing regulations.
- Strong business acumen with the ability to communicate effectively with business teams.
- Excellent analytical and problem-solving skills to provide strategic legal advice balancing risk and business needs.
- Strong interpersonal skills to provide clear legal guidance across all organizational levels, including senior executives.
Education & Experience
- Juris Doctorate from an ABA-accredited law school.
- Admission to practice law in good standing in at least one state.
- Minimum of 10 years of experience in technology, healthcare IT, PBM, transactional law, and state licensing and regulatory matters.
- Significant in-house legal experience within healthcare IT, PBM, pharmaceutical technology, pharmacy, or healthcare payor companies.
- Proven transactional and contract drafting expertise, including intellectual property and IT agreements.
- Experience monitoring and ensuring compliance with state-specific PBM and pharmacy laws and regulations.
- Demonstrated ability to work collaboratively with in-house counsel and business teams.
- Ability to work remotely.
Compensation & Benefits
- Projected annual salary range: $210,000 to $250,000, based on experience, qualifications, interview feedback, internal equity, and location.
