Overview
A global life sciences and diagnostics organization is seeking a Senior Counsel to provide comprehensive legal support across its operations. This role involves identifying and addressing complex legal issues, advising on commercial agreements, managing litigation and regulatory matters, and supporting corporate governance and compliance initiatives. The position reports to the Vice President, General Counsel and is part of the Legal & Compliance Team.
This is a fully remote role with a strong preference for candidates located within commuting distance of the Marlborough, MA office.
Responsibilities
- Draft, negotiate, and advise on commercial agreements and complex legal matters including antitrust, bankruptcy, and clinical diagnostics.
- Manage litigation, government investigations, and regulatory issues, collaborating with external counsel and supporting global product, quality, and regulatory teams on compliance matters such as labeling, promotional review, and post-market risks.
- Provide practical guidance on global regulatory and compliance topics including anti-corruption/anti-bribery, trade and sanctions, competition/antitrust, and third-party due diligence in partnership with Compliance.
- Support corporate governance, intellectual property matters, and Legal function leadership, including IP-related contract terms, confidentiality, open-source software use, board materials, delegated authorities, and Legal policies.
- Develop training materials, playbooks, and process improvements, including leveraging AI to enhance legal workflows.
- Supervise the Paralegal supporting the legal team.
Requirements
- Juris Doctor degree and active U.S. Bar membership in good standing.
- Minimum of 7 years as a licensed U.S. attorney with experience in both nationally recognized law firms and in-house legal departments; experience in life sciences preferred.
- Demonstrated leadership and strategic thinking abilities, including mentoring and team development.
- Extensive experience in deal negotiation and execution, including partnerships, collaborations, licensing, M&A, and research agreements.
- Strong interpersonal skills with a positive, collaborative attitude; ability to manage multiple projects in a fast-paced, complex global environment.
- Ability to travel globally up to 20% of the time.
Preferred Qualifications
- Experience with healthcare regulation.
- Experience with software licensing.
Compensation & Benefits
- Annual salary range: $185,667 - $204,500.
- Eligibility for bonus/incentive pay.
