Overview

The Senior Counsel, Partnerships will serve as the primary legal resource for strategic partnership contracting. This role supports the Director, Senior Corporate Counsel in managing the full lifecycle of healthcare and non-healthcare vendor contracts, including negotiation, execution, management, renewal, and termination. Responsibilities include reviewing, drafting, and negotiating a wide range of commercial agreements such as master services agreements, license agreements, SaaS agreements, business associate agreements, non-disclosure agreements, and other related contracts. The ideal candidate will have extensive experience with strategic corporate partnerships, channel and distribution agreements, co-marketing agreements, and alliance-driven transactions. Experience in Mergers & Acquisitions (M&A) or corporate development with complex deal structuring is strongly preferred. Familiarity with healthcare-related agreements, data privacy laws (HIPAA, CCPA/CPRA, GDPR), emerging technologies like artificial intelligence, and technology deployment models (on-premise/cloud/hybrid) is also preferred.

Responsibilities

  • Collaborate with business leaders to develop and implement contracting strategies for strategic partnerships, channel and distribution agreements, co-marketing agreements, and other alliance-driven transactions.
  • Draft, review, and negotiate strategic partnership agreements and complex vendor contracts including master services agreements, software license agreements, professional services agreements, SaaS/PaaS/IaaS agreements, business associate agreements, statements of work, and related documents.
  • Advise internal stakeholders on contract interpretation, legal risks, and compliance requirements.
  • Maintain contract databases and tracking systems for vendor and strategic partner relationships.
  • Prepare legal summaries and risk assessments on contract terms and key provisions.
  • Support contract management processes and workflow improvements.
  • Coordinate with strategic vendor services, corporate alliances, business operations, compliance, privacy, information governance teams, and other stakeholders on contract issues.
  • Facilitate cross-functional meetings to resolve contract issues and support business objectives.
  • Assist in training non-legal teams on contract processes and legal requirements.
  • Complete all responsibilities outlined in annual performance reviews and special projects as assigned.

Qualifications

  • Juris Doctor (JD) degree and active bar membership.
  • 8-10 years of legal experience in-house or at a large law firm.
  • Strong interpersonal and presentation skills with the ability to communicate effectively at all organizational levels.
  • Proven ability to negotiate complex agreements with a deep understanding of legal, financial, and commercial considerations.
  • Prior experience in M&A, corporate development, or complex deal structuring preferred.
  • Ability to build and maintain strong relationships within the legal department and across business units.
  • Ability to work independently with minimal supervision and be responsive in a remote working environment.
  • Intellectual agility and energy to excel in a complex, evolving environment.

  • Analytical Thinking: Interpret and apply complex laws, regulations, and contract terms related to healthcare compliance, data privacy, technology licensing, and vendor relationships. Identify legal risks in commercial agreements and emerging technology implementations.

  • Attention to Detail: Meticulous drafting and review of agreements, templates, risk assessments, and compliance documentation.

  • Business Acumen: Balance legal risk with business objectives across complex deal structures and strategic partnerships.

Compensation and Benefits

  • Base salary range: $150,000 to $165,000 per year, determined by experience, education, skills, certifications, and business needs.
  • Eligible for discretionary bonus consideration.
