Overview

A privately held aggregates and asphalt highway construction company with operations in 12 states and over 3,500 employees is seeking a Senior Counsel, Real Estate and Acquisitions. Established in 1908, the organization operates 86 quarries and 56 asphalt plants across Tennessee, Mississippi, Georgia, Alabama, South Carolina, North Carolina, Kentucky, Arkansas, Texas, Indiana, Illinois, and Ohio. This position is based in Nashville, TN and reports directly to the Vice President and General Counsel.

Responsibilities

  • Draft and negotiate purchase and sale agreements and closing documents for real estate transactions.
  • Manage title, survey, zoning, and land use diligence in coordination with title companies and outside counsel as needed.
  • Draft and negotiate real estate leases and lease amendments, including related diligence.
  • Draft and negotiate transaction documents for acquisitions, including purchase agreements, ancillary agreements, and closing documents.
  • Coordinate and manage outside counsel, consultants, and vendors to ensure efficient and cost-effective transaction execution.
  • Provide practical, business-oriented legal advice to operations, development, and leadership teams regarding risk assessment and deal structure.
  • Assist with post-closing matters such as integration of acquired assets, resolution of title or survey issues, and ongoing property management concerns.

Requirements

  • Minimum of 3 years practicing as an attorney with a primary focus on real estate and/or acquisitions.
  • Experience handling complex real estate transactions and acquisitions, preferably involving industrial, mining, construction, or infrastructure assets.
  • Strong working knowledge of title, survey, zoning, land use, and environmental diligence.
  • Demonstrated ability to manage multiple transactions simultaneously in a fast-paced, operational environment.
  • Strong negotiation, drafting, and communication skills with a practical, solution-oriented approach.
  • Ability to work independently while collaborating closely with cross-functional teams and senior leadership.
