Overview

This role is a Senior Counsel position within a legal team supporting a Fortune 100 insurance and financial services organization. The position focuses on reinsurance, insurance claims, alternative risk financing, and related regulatory matters. It involves providing specialized legal expertise across the enterprise, including insurance coverage analysis, claims and litigation support, manuscript drafting of insurance policies, and external audit matters. The role also supports reinsurance transactions and alternative risk financing strategies for Property & Casualty and Financial Services.

This position reports to senior legal leadership and may involve leading a team of legal professionals. It can be performed fully remotely, with reporting to the Columbus, Ohio corporate office.

Responsibilities

Corporate Risk Management

  • Provide legal advice on a variety of property & casualty insurance products, including general liability, auto liability, property, workers’ compensation, excess & surplus lines, and specialty lines such as E&O, D&O, fiduciary liability, surety, and credit insurance.
  • Draft manuscript endorsements and insurance policies.
  • Identify, assess, and mitigate legal risks across the organization.
  • Advise on corporate governance, regulatory compliance, and risk management for captive insurance programs.

Insurance and Reinsurance Coverage, Claims, and Dispute Resolution

  • Advise on insurance coverage issues and reinsurance recoverable strategies.
  • Manage insurance and reinsurance claims, including drafting demand letters and overseeing outside counsel in arbitration and litigation.

External Audit Matters

  • Identify and evaluate material matters for disclosure in coordination with internal teams and external counsel.
  • Negotiate engagement letters with auditors.
  • Apply knowledge of the Model Audit Rule.

Reinsurance, Fronting Arrangements, and Alternative Risk Financing

  • Review and negotiate reinsurance and fronting agreements and ancillary contracts.
  • Advise on legal and regulatory issues related to reinsurance intermediaries, program administrators, third-party administrators, trusts, and multinational insurance programs.
  • Provide guidance on the establishment, regulation, governance, and administration of reinsurance entities and captive insurers.
  • Advise on alternative risk financing mechanisms such as captives, structured insurance solutions, insurance-linked securities, catastrophe bonds, and other innovative solutions.
  • Evaluate legal and regulatory implications of alternative risk structures.

Bermuda and Other Offshore Reinsurance Regulations and Transactions

  • Navigate international regulatory frameworks for cross-border reinsurance transactions.
  • Analyze legal and compliance aspects of global reinsurance operations, coordinating with privacy, tax, trade, economic sanctions, and other regulatory experts.

Legal Leadership and Advisory

  • Provide expert legal advice on highly complex matters to senior leaders.
  • Identify and assess potential legal risks and develop risk management recommendations.
  • Lead complex, strategic, or sensitive legal matters.
  • Keep senior leadership informed of relevant case law and legislation.
  • Manage outside counsel budgets and relationships.
  • Hire, develop, and coach legal team members.

Requirements

  • Juris Doctorate from an American Bar Association-accredited law school.
  • Licensed attorney in good standing, compliant with continuing legal education requirements in practicing states.
  • Typically 15+ years of relevant legal experience, including significant expertise in insurance, reinsurance, and risk management law.
  • Experience managing complex legal matters and leading legal teams.
  • Strong verbal and written communication skills.
  • Ability to interpret statutes, regulations, insurance policies, and contracts.
  • Proven decision-making and project management skills.
  • Ability to negotiate complex agreements and lead cross-functional projects.

Preferred Qualifications

  • Experience with corporate governance, regulatory compliance, and captive insurance programs.
  • Knowledge of international reinsurance regulatory frameworks.
  • Familiarity with alternative risk financing mechanisms and offshore reinsurance transactions.
  • Supervisory and leadership experience.

Compensation and Benefits

  • National salary range: $149,000 to $279,000 annually.
  • Expected starting salary range: $149,000 to $249,000 annually.
  • Benefits include medical, dental, vision, life insurance, short and long-term disability coverage.
  • Paid time off starting at a minimum of 18 days per year, nine paid holidays, lifetime paid time off, and Unity Day paid time off.
  • 401(k) with company match and company-paid pension plan.

Location

  • This position is fully remote with reporting to the Columbus, Ohio corporate office.
  • Candidates from any of the lower 48 U.S. states may be considered.
