Overview

This role is for a Senior Counsel, Strategic Deals position within the organization’s legal team. The work focuses on technology transactions and supporting end-to-end ownership of the company’s most strategic and complex commercial deals, including strategic partnerships, technology licensing/IP rights, and support for M&A diligence and post-close integration.

Responsibilities

  • Strategic partnerships: Draft, review, and negotiate complex partnership agreements, including OEM, technology licensing, and alliance arrangements. Own deals end to end and support the Legal Director on the largest transactions.
  • IP licensing & technology rights: Negotiate IP ownership, license scope, data rights, and AI-related terms.
  • Strategic product initiatives: Partner with Product and GTM teams on new offerings and translate them into clear customer and partner terms.
  • M&A support: Perform commercial contract diligence on acquisition targets; identify material risks in customer, partner, and IP agreements; support post-close contract integration and assignment workstreams.
  • Advice & issue spotting: Provide practical, business-focused advice to deal teams; identify material risks and escalate with clear recommendations.
  • Process & playbooks: Help build templates, playbooks, and processes to enable scaling.
  • Cross-functional collaboration: Coordinate with commercial, product/IP/AI, privacy, security, and procurement legal colleagues to support consistent, company-wide deal positions.

Requirements

  • Education & licensure: Juris Doctor (JD) from an accredited U.S. law school or equivalent; active license to practice law in a U.S. state.
  • Experience: 8 or more years of legal experience focused on technology transactions, ideally a combination of top-tier law firm and in-house experience at a technology company.
  • Deal expertise: Strong working knowledge of IP licensing and complex technology agreements, including OEM, strategic alliance, and SaaS.
  • AI tools fluency: Fluency with AI tools and a track record of using them to work faster and smarter (e.g., drafting, contract review, diligence, or knowledge management).
  • Negotiation: Proven ability to independently negotiate complex agreements with sophisticated counterparties.
  • Business judgment: Strong commercial instinct and understanding of the business behind the deal, not only the legal documentation.
  • Communication: Excellent written and verbal communication skills; ability to explain complex legal issues in plain business terms.

Preferred Qualifications

  • Cybersecurity and/or enterprise SaaS industry experience.
  • Channel, OEM, and MSSP/service-provider program experience.
  • Experience with terms for agentic or autonomous AI products, including training data, output rights, and liability allocation.
  • M&A experience, particularly commercial diligence and post-close contract integration (plus, not required).

Compensation & Benefits

Base Salary Range: $184,000—$253,000 USD (base pay range varies by candidate location; different ranges may apply in some locations and will be provided during the recruiting process).
