Overview

The Commercial Contracts Manager develops and negotiates commercial contract language and provides contract leadership and expertise for project teams across all product lines globally. The role is heavily focused on the Inquiry to Order (ITO) phase of contracting, with potential support for post-contractual management, contract Terms & Conditions, and claim management. The position also involves identifying and managing risk in support of contracts, operating under established policy objectives with considerable autonomy and high operational judgment.

Responsibilities

  • Draft contract language for a wide range of commercial matters, including sales contracts, NDAs, consortium agreements, partnering models, claim settlements, and commercial correspondence
  • Develop commercial language strategy and support agreement creation
  • Lead customer contract negotiations in collaboration with the Commercial Team
  • Lead reviews and development of customer term sheets, contracts, and other agreements, conforming documents to preferred commercial models and standards prior to business and legal reviews
  • Compare project terms to ensure consistency of positions and alignment with market-accepted positions
  • As directed by business leadership, craft Memorandums of Understanding and teaming agreements with potential customers and project partners
  • With potential partners, develop project delivery models acceptable to both delivery teams and customers
  • Coordinate subject matter expert reviews of contract documents and incorporate feedback
  • Own contract-related deadlines and drive the process to meet required timelines
  • Ensure compliance with the commercial risk process and business policies
  • Provide day-to-day guidance and coaching to project teams on RFQs, change orders, contract Terms & Conditions, contract administration, and customer contractual issues
  • Provide leadership support for significant customer contract issues, including:
    • Contractual analysis of claims or disputes
    • Development of risk mitigation and negotiation strategies
    • Presentation of alternatives and recommendations for leadership support
    • Problem-solving to overcome obstacles to issue resolution, including direct participation in customer negotiations
  • Bridge business needs and Legal counsel by distilling complex legal concepts into actionable commercial guidance and ensuring contract execution aligns with internal governance
  • Drive continuous improvement of contract templates, risk-assessment playbooks, and standardized negotiation tools to execute deals faster and more efficiently

Required Qualifications

  • Juris Doctorate degree from an accredited college or university
  • Minimum of 5+ years of directly related contract experience

Preferred Qualifications / Desired Characteristics

  • Ability and willingness to travel (U.S. and internationally, as required)
  • Preferred work location: Wilmington, NC (Headquarters)
  • Outstanding writing and oral communication skills and ability to influence
  • Ability to concurrently support multiple issues and clients
  • Contracts Terms & Conditions knowledge with experience negotiating contract language and/or contractual disputes
  • Power industry contracting experience interfacing directly with customers or prime contractors

Compensation & Benefits

  • Pay range (U.S. based positions): $104,200.00 to $173,700.00
  • Geographic differential: 110%, 120%, or 130% of salary in certain areas
  • Discretionary annual bonus eligibility
