Overview
A legal team supporting global commercial transactions and go-to-market efforts is seeking a Senior Legal Counsel. This role focuses on structuring, drafting, and negotiating commercial and strategic partnership agreements involving a diverse range of technology products and services. The position involves serving as a trusted legal partner to sales, partnerships, procurement, and customer success teams, facilitating complex, high-value deals by providing practical legal guidance that balances business objectives and risk management. The role offers significant ownership, including independently leading strategic transactions and collaborating with cross-functional stakeholders. Responsibilities
- Structure, redline, negotiate, and close a broad range of commercial agreements such as license agreements, SaaS agreements, partnership contracts, and strategic alliances
- Provide end-to-end legal support for strategic transactions, acting as the primary legal contact for high-value agreements with customers, vendors, and partners
- Assess legal and commercial risks in complex transactions and deliver timely, business-focused advice with clear recommendations and practical alternatives to accelerate contract processes
- Collaborate with cross-functional teams including Sales, Finance, Product, Privacy, Security, Partnership, and Procurement to solve problems and achieve business goals
- Develop and improve contract templates, playbooks, and supporting documentation to enhance team efficiency and scalability
- Monitor relevant legal and regulatory developments and translate them into actionable guidance
- Support dispute resolution efforts
- Address other business legal needs as they arise

Requirements
- Juris Doctor (J.D.) from an accredited law school
- Active bar admission in good standing in at least one U.S. jurisdiction
- 3-6 years of experience in commercial contract negotiation
- Proven ability to independently lead and close strategic agreements with enterprise customers, vendors, and partners
- Deep expertise in technology contract terms, including licensing models, indemnification, limitation of liability, intellectual property ownership, data protection, and privacy provisions
- Experience developing and implementing contract playbooks, templates, and negotiation guidelines at scale
- Strong business judgment with the ability to balance legal risk against commercial objectives and provide practical, actionable advice
- Excellent written and verbal communication skills, capable of explaining complex legal concepts clearly to business stakeholders
- Proficiency in Microsoft Office Suite and Adobe Acrobat
- Ability to manage multiple priorities, work independently, and thrive in a fast-paced, dynamic environment
- Management experience is preferred
