Overview

This is a fully remote, individual contributor role for a Senior Legal Counsel – Commercial Legal, APAC. You will serve as the primary legal partner to APAC sales teams, owning Terms of Service negotiation, contract redlining, and commercial agreement review across the region.

The position supports the Commercial Legal sub-team (Direct Sales & Partnerships) and includes additional coverage for other regions as bandwidth permits.

Responsibilities

  • Act as the primary legal advisor to APAC sales teams, providing timely, practical legal support on:
    • Terms of Service negotiation
    • Contract redlining
    • Commercial agreement reviews
    • Prioritizing responsiveness, brevity, and clarity
  • Lead live negotiations with customers and their counsel on strategic and enterprise deals, including escalated matters involving customer paper and high-value ARR thresholds.
  • Serve as the Legal Primary DRI for APAC under the Legal Matter Framework, ensuring escalations are handled in-region and in-time-zone.
  • Partner with Sales, Finance, and cross-functional teams to structure and review commercial agreements that align with business objectives while mitigating legal and operational risks.
  • Develop and improve templates, playbooks, processes, and other knowledge resources related to commercial transactions and sales support, including inputs that strengthen automated triage and self-service tooling.
  • Provide legal training and guidance to internal stakeholders—particularly APAC sales teams—to help them navigate complex commercial issues.
  • Coordinate with the Data Protection and AI Governance team on privacy and AI terms arising in commercial deals; escalate substantive data protection questions rather than owning them directly.
  • Coordinate with local counsel when jurisdiction-specific advice is required, translating that advice into practical and scalable guidance.
  • Bring a solutions-focused mindset to negotiations, minimizing roadblocks and resolving issues without unnecessary escalation.

Requirements

  • Proven expertise supporting commercial transactions, particularly enterprise-level SaaS agreements, Terms of Service negotiations, and sales contract reviews.
  • Experience supporting sales teams across APAC is highly valued.
  • Qualified to practise in an APAC jurisdiction.
  • English is the working language for negotiations and internal collaboration; additional APAC languages are a strong advantage, but not a requirement.
  • Demonstrated comfort operating across multiple APAC jurisdictions and legal traditions, with the judgment to determine when local counsel is genuinely needed.
  • Strong commercial drafting skills, with the ability to craft clear, precise, and enforceable agreements.
  • Strong negotiation skills, including comfort leading live negotiations directly with counterparties and their counsel.
  • Experience with enterprise deals conducted on the customer’s paper (customer MSAs, bespoke terms, and formal RFx processes) and the ability to work from first principles when no template exists.
  • Sharp commercial instincts and strategic thinking; comfortable letting go of immaterial points to keep negotiations moving efficiently.
  • Proven ability to excel in a fast-paced environment, maintaining responsiveness and adaptability under pressure.
  • Strong ability to work independently while collaborating effectively with sales and cross-functional teams.
  • Ability to build trusted relationships with sales stakeholders while maintaining independent legal judgment (flexible when appropriate, firm when needed).
  • Comfort working alongside automated triage and legal tooling, with interest in improving it (automation seen as leverage).
  • A healthy dose of humor and humility.

Preferred Qualifications

  • Prior HR-tech industry experience or familiarity with bespoke HR services agreements is beneficial, though not required.

  • Annual base salary range (full-time): $53,050—$134,250 USD
