Overview
A leading media measurement and data analytics organization is seeking a Senior Counsel to join their Legal Department supporting the Audience Measurement business. This role involves providing legal guidance on product, alliance, supplier, and commercial sales agreements related to data, licensing, technology, market research, and software services within the evolving media landscape. The Senior Counsel will advise product, data, technology, and commercial teams on contract compliance, licensing, regulatory requirements, and data privacy.
This position offers a remote-first work environment with an option for in-office or hybrid work in New York for candidates residing within a commutable distance.
Responsibilities
- Draft, review, negotiate, and manage a variety of commercial contracts including inbound and outbound licenses, master service agreements, statements of work, data supplier and integration agreements, technology services agreements, supplier agreements, and NDAs.
- Provide legal support for product development, distribution, and sales by interpreting legal, business, and technical concepts to assess legal risks and ensure appropriate contractual terms.
- Offer practical, business-oriented legal advice and contract interpretation to internal business teams.
- Develop and implement legal templates, playbooks, and best practices to streamline contract processes and improve efficiency.
- Manage and resolve contract disputes and support litigation matters as needed.
- Assist in developing and delivering legal training to internal stakeholders.
Requirements
- 7-10 years of legal experience, including work in digital media, digital advertising, ad tech, data analytics, or technology, either at a law firm or in-house.
- Experience negotiating complex contracts involving online media, consumer and other data, market research, data products, software, and commercial sales agreements with various compensation structures (e.g., volume-based, royalties, flat fees, tiered pricing).
- Working knowledge of the advertising ecosystem, including ad tech transactions and media buying and selling processes.
- Familiarity with intellectual property law and data privacy law as it relates to consumer data.
- Juris Doctor degree and a bachelor's degree or equivalent experience.
- Strong contract drafting skills with precise attention to detail and ability to negotiate complex agreements with minimal supervision.
- Excellent organizational and interpersonal skills, with adaptability to constructive feedback.
